甘李藥業(603087.SH)澄清：甘忠如、王大梅、寧軍軍三位高管辭任後仍在公司任職
格隆匯 7 月 27日丨甘李藥業(603087.SH)公佈，近日，甘李藥業股份有限公司(以下簡稱“甘李藥業”或“公司”)於2020年7月21日披露《關於部分高級管理人員辭職的公告》，部分高級管理人員人事變動引發了一系列媒體的關注，公司關注到相關報道後進行了認真核實，為了避免對投資者造成誤導，現予以澄清説明。
澄清聲明
現對相關報道提出的有關質疑，具體説明如下：
(一)關於部分高級管理人員辭職的相關説明
該情況系三位高級管理人員—甘忠如、王大梅、寧軍軍職位優化調整。甘忠如、王大梅、寧軍軍分別申請辭去公司總經理、副總經理、財務負責人職務。辭職後，甘忠如仍然擔任公司董事長、戰略委員會主任委員、薪酬與考核委員會委員，王大梅仍擔任公司董事，寧軍軍仍在公司財務部從事財務管理工作。
上述三位高級管理人員辭任後，並未離開公司，仍在公司任職，甘忠如將更加專注於公司的戰略佈局。作為公司重組胰島素類產品研發及生產的核心技術人員，此次職務優化調整後，甘忠如先生和王大梅女士將更加專注於帶領研發團隊全身心投入公司的新產品研發和技術創新工作。寧軍軍先生仍然負責公司財務部門的管理工作，工作內容沒有發生實質性變化。上述高級管理人員的辭職不會對公司日常管理、生產經營產生影響。
(二)關於辭職高級管理人員持有公司股份情況的説明
甘忠如直接持股31.54%，通過北京旭特宏達科技有限公司(以下簡稱“旭特宏達”)間接控制8.46%，合計控制公司總股本的40.00%。王大梅通過旭特宏達間接持股份額約0.41%，寧軍軍未持有公司股份。作為公司控股股東、實際控制人，甘忠如在《招股説明書》中公開承諾：自甘李藥業股票上市之日起三十六個月內，不轉讓或者委託他人管理在本次發行前直接或間接所持有的發行人的股份，也不由發行人回購該部分股份。公司股東旭特宏達在《招股説明書》中公開承諾：自甘李藥業股票上市之日起三十六個月內，不轉讓或者委託他人管理在本次發行前所持發行人股份，也不由發行人回購該部分股份。辭去高級管理人員職務後，甘忠如先生和王大梅女士仍然擔任公司的董事，同樣需要遵守《公司法》、中國證監會《上市公司股東、董監高減持股份的若干規定》、《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》中關於董事、監事、高級管理人員的減持限制。
(三)關於高管團隊建設理念的説明
公司內部對於人事任免有一套完整和規範的管理制度，本次新聘任的高級管理人員具備相關專業知識和工作能力，任職資格符合《公司法》等相關法律、法規、規範性文件及《公司章程》的有關規定，也符合公司內部對於人才培養、人才選拔的戰略性考慮。醫藥上市公司高管年輕化正在成為一種趨勢，是企業在戰略升級過程中的必然選擇。甘李藥業本着“國際化”的理念，着重培養具有國際視野、富有活力、有效配置、能打硬仗的管理層，本次的高級管理團隊符合公司長期以來的人才戰略和國際化發展目標。
