展鵬科技(603488.SH)擬購買伯坦科技100%股權 介入新能源汽車零部件等業務 13日起復牌
格隆匯 7 月 10日丨展鵬科技(603488.SH)披露發行股份及支付現金購買資產並募集配套資金暨關聯交易預案，此次交易方案為展鵬科技發行股份及支付現金購買交易對方聶亮、戴國強、蔡莉萍、義雲創投、青域睿行、青域甬潮、簡域信息、太湖雲和、杭州櫞鳴持有的伯坦科技100%股權。此次交易對價採取發行股份及支付現金相結合的方式，具體比例將由交易雙方在正式協議中予以協商確定，並將在重組報告書中予以披露。
上市公司擬向海創投資非公開發行股份募集配套資金，募集配套資金總額不超過此次交易中上市公司以發行股份方式購買資產的交易價格的100%，且發行股份數量不超過上市公司此次交易前總股本的30%，即不超過8775.522萬股。此次募集配套資金擬用於支付此次交易的現金對價、相關交易税費以及中介機構費用、投入標的公司項目建設、補充上市公司和標的公司流動資金或償還債務等，募集資金具體用途及對應金額將在重組報告書中予以披露。此次發行實際募集資金若不能滿足上述資金需要，相應的資金缺口將由上市公司自籌解決。
此次交易前，上市公司主要從事電梯門系統、電梯一體化控制系統、電梯轎廂及門系統配套部件的研發、生產與銷售。上市公司是國內擁有自主變頻控制核心技術並較早應用於電梯門系統的企業，產品廣泛應用於載客電梯、載貨電梯、特種電梯等各類垂直電梯製造領域。
此次交易完成後，伯坦科技將成為上市公司的全資子公司，上市公司的主營業務範圍將拓展至新能源汽車零部件產品和換電網絡核心設備的研發、設計與銷售服務，產品包括用於換電式純電動汽車的換電系統總成、電機、電控等。伯坦科技在換電式純電動汽車行業具有一定的先發優勢，在換電系統、電機控制系統、電池管理系統等領域擁有紮實的技術積累，其汽車零部件產品性能良好，能夠較好滿足整車廠商的需求。
伯坦科技依託較強的產品研發能力和技術服務能力，為整車廠商提供用於換電式純電動汽車的核心零部件產品，擁有較強的技術支撐，積累了較為豐富的客户資源，有助於上市公司業務向新能源汽車應用市場領域拓展。
除此之外，上市公司與伯坦科技在電機控制系統的產品研發、製造方面存在一定的互補性，上市公司擁有電氣產品製造能力，可以承接伯坦科技的部分委外加工業務。因此，雙方合作可以提升各自原有產品的技術完善性和穩定性，有助於雙方在各自領域進一步拓展市場，增強客户粘性。
根據相關規定，經向上海證券交易所申請，公司股票將於2020年7月13日開市起復牌。
