力帆股份(601777.SH)：若干子公司被債權人向法院申請司法重整
格隆匯 7 月 9日丨力帆股份(601777.SH)公佈，債權人重慶三三電器股份有限公司(“三三電器”)以公司全資子公司重慶力帆乘用車有限公司(“力帆乘用車”)不能清償到期債務，明顯缺乏清償能力為由，向重慶市第五中級人民法院(“法院”)申請對力帆乘用車進行重整。
債權人重慶石油(集團)石化商貿有限公司(“石化商貿”)以公司全資子公司重慶力帆汽車銷售有限公司(“力帆汽車銷售”)不能清償到期債務，資產不足以清償全部債務為由，向法院申請對力帆汽車銷售進行重整。
債權人重慶逸境環保工程有限公司(“逸境環保”)以公司全資子公司重慶力帆實業(集團)進出口有限公司(“力帆進出口”)不能清償到期債務，明顯缺乏清償能力為由，向法院申請對力帆進出口進行重整。
債權人重慶鈞頂機械製造有限公司(“鈞頂機械”)以公司全資子公司重慶力帆摩托車發動機有限公司(“摩托車發動機”)不能清償到期債務，資產不足以清償全部債務為由，向法院申請對摩托車發動機進行重整。
債權人四川飛亞動力科技股份有限公司(“飛亞動力”)以公司全資子公司重慶力帆汽車發動機有限公司(“力帆汽車發動機”)不能清償到期債務，資產不足以清償全部債務為由，向法院申請對汽車發動機進行重整。
債權人鈞頂機械以公司全資子公司重慶力帆內燃機有限公司(“力帆內燃機”)不能清償到期債務，明顯缺乏清償能力為由，向法院申請對力帆內燃機進行重整。
債權人重慶力帆實業集團銷售有限公司(“實業集團銷售”)以公司全資子公司重慶無線綠洲通信技術有限公司(“無線綠洲”)不能清償到期債務，資產不足以清償全部債務為由，向法院申請對無線綠洲進行重整。
債權人力帆融資租賃(上海)有限公司(“力帆融租”)以公司全資子公司重慶移峯能源有限公司(“移峯能源”)不能清償到期債務，明顯缺乏清償能力為由，向法院申請對移峯能源進行重整。
債權人重慶力帆摩托車產銷有限公司(“摩托車產銷”)以公司控制的全資子公司重慶力帆速騅進出口貿易有限公司(“速騅外貿”)不能清償到期債務，明顯缺乏清償能力為由，向法院申請對速騅外貿進行重整。
債權人摩托車產銷以公司控制的全資子公司重慶力帆喜生活摩托車銷售有限公司(“喜生活”)不能清償到期債務，資產不足以清償全部債務為由，向法院申請對喜生活進行重整。
力帆乘用車、力帆汽車銷售、力帆汽車發動機、無線綠洲、移峯能源，現階段生產經營均不正常。
債權人的申請能否被法院裁定受理、公司的全資子公司能否進入重整程序存在重大不確定性。
目前公司已經被債權人申請進入破產重整程序，根據《上海證券交易所股票上市規則(2019年4月修訂)》第13.2.11條的相關規定，若法院依法受理債權人對公司重整的申請，公司股票將被實施退市風險警示。
如果法院正式受理對公司的重整申請，公司將存在因重整失敗而被宣告破產的風險。如果公司被宣告破產，公司將被實施破產清算，根據《上市規則》第14.3.1條第(十二)項的規定，公司股票將面臨被終止上市的風險。
即使公司實施重整並執行完畢，但公司後續經營和財務指標如果不符合《上市規則》等相關監管法規的要求，公司股票仍存在被實施退市風險警示或終止上市的風險。
