中國交通建設(01800.HK)董事會審議通過優先股股息發放方案議案
格隆匯7月8日丨中國交通建設(01800.HK)公佈，於2020年7月8日，公司董事會會議審議通過《關於公司優先股股息發放方案的議案》，由於公司在優先股股息支付日前12個月內發生了向普通股股東支付股利的情形，觸發公司章程和公司非公開發行優先股的募集説明書所規定的強制付息事件，因此公司需要向優先股股東派發本年度的優先股股息。同意公司按照以下方案向優先股股東發放股息：公司於2015年9月發行第一期優先股，計息日為2019年8月26日—2020年8月25日，以第一期優先股發行量0.9億股為基數，按照5.10%票面股息率，向全體優先股股東派發股息每股人民幣5.10元（含税），共計459,000,000元（含税）。
公司於2015年10月發行第二期優先股，計息日為2019年10月16日—2020年10月15日，以第二期優先股發行量0.55億股為基數，按照4.70%票面股息率，向全體優先股股東派發股息每股人民幣4.70元（含税），共計258,500,000元（含税）。
審議通過《關於全額贖回2015年非公開發行145億元優先股的議案》，同意公司全額贖回於2015年非公開發行的145億元優先股。
審議通過《關於設立墨西哥瑪雅鐵路拉瑪特第一標段聯營體公司的議案》，同意公司設立瑪雅鐵路拉瑪特第一標段聯營體公司，英文名稱為CONSORTIUM LAMAT SECTION 1，註冊地為墨西哥首都墨西哥城，公司出資35萬比索（約1.75萬美元），持有聯營體公司35%股權。
審議通過《關於變更為約翰霍蘭德公司競標提供的母公司保證授權書的議案》，同意公司為約翰霍蘭德出具母公司保證的被授權人士變更為公司副總裁、海外事業部總經理陳重，由其代表中國交建在本授權書有效期內為約翰霍蘭德公司競標出具投標保證函及相關文件，該授權有效期至2020年12月13日，同時廢除對原授權人士的所有授權權限。
此外，審議通過《關於審議公司2020年度投資業務總體預算方案的議案》，同意公司2020年度境內項目投資預算，計劃新籤投資合同額1,800億元。
審議通過《關於鹽城市快速路網三期工程PPP項目投資總額調整增加項目資本金所涉關聯（連）交易的議案》，同意公司附屬中交一公局集團有限公司（簡稱一公局集團）、中交第三航務工程局有限公司（簡稱三航局）分別增加對鹽城市快速路網三期工程PPP項目的資本金投入10,300萬元，共計20,600萬元。鹽城市快速路網三期工程PPP項目系一公局集團、三航局與關聯（連）方上海振華重工（集團）股份有限公司（簡稱振華重工，系公司的關聯方）共同投資的項目，本次增加註冊資本金屬於關聯（連）交易，涉及關聯（連）交易金額20,600萬元。
