文投控股(600715.SH)：信託計劃份額的處置退出尚處初步階段 對公司財務和經營的影響程度暫無法估計
格隆匯 7 月 3日丨文投控股(600715.SH)公佈，公司於2019年12月27日召開九屆董事會第四十次會議，審議通過了《關於對信託計劃份額進行處置退出的議案》，同意公司於近期對持有的2.7375億份錦程資本020號集合資金信託計劃份額進行部分或全部處置退出，包括對信託計劃份額進行轉讓出售、積極推進信託計劃的清算及分配等。
公司董事會授權公司管理層公開徵集全部或部分信託份額受讓方或配合信託公司出售全部或者部分底層資產股權，授權期限為1年。
此次交易標的為公司持有信託計劃2.7375億份份額。信託計劃的主要資產為英國Guidedraw Limited公司75%股權，Guidedraw Limited公司是英國特效製作公司Framestore的控股股東。
GuidedrawLimited旗下Framestore是電影行業著名的特效製作公司之一，主要業務為電影視覺特效製作、廣告和電視節目製作及虛擬現實和增強現實(VR/AR)，屬於視覺特效製作行業。GuidedrawLimited的短期目標是通過投資擴大自身在蒙特利爾和倫敦的電影電視團隊產能來鞏固市場份額，因此公司營收在五年間翻了一番，從2016財年的1.07億英鎊增加到2020財年的2.16億英鎊。
基於長期戰略，Framestore自2016年始不斷開啟全球化佈局，目前已在美國紐約、洛杉磯、芝加哥，印度普納、孟買，加拿大蒙特利爾等地設有分支機構。該項進程使得公司在近些年承受了一定的財務壓力，影響了利潤表現。分公司的設立雖沒有為公司帶來立竿見影的回報，但隨着不斷深耕各地分公司都已在當地站穩腳跟，積累了眾多優質客户資源，為公司帶來更多業務機會的同時也提升了行業影響力。
2020年3月下旬以來，隨着疫情在全球的蔓延，人員和物資流動受到限制，部分影視項目投資、製作活動暫停或推後，GuidedrawLimited業務受到一定影響，正在積極採取多種措施予以應對。
由於此次信託計劃份額的處置退出事項尚處初步階段，相關交易對手、交易份額、交易金額等內容尚未確定，此次交易對公司財務狀況和經營成果的影響程度暫無法估計。
對於《關於對文投控股股份有限公司參與認購集合資金信託計劃有關事項的問詢函》(上證公函【2019】2796號)中的財務顧問意見，公司積極協調相關各方，推進和落實相關的盡職調查，目前財務顧問已經審閲了境內相關法律文件並赴信託管理人履行核查程序，由於此次交易結構比較複雜，財務顧問需關注的要點較多，涉及海外資產盡調，所需時間較長。近期又受疫情影響，相關核查工作週期進一步延長，因此尚未完成財務顧問意見的回覆工作。
