麗珠醫藥(01513.HK)與LTS簽署授權合作協議
格隆匯7月3日丨麗珠醫藥(01513.HK)宣佈，公司於2020年7月3日與LTS Lohmann Therapie-Systeme AG（以下簡稱“LTS”）簽署了《授權合作協議》，LTS將授予公司阿塞那平透皮貼劑若干知識產權下的獨家、包含特許權使用費、可轉授權的許可權。根據本協議約定，公司將與LTS合作開發授權產品，授權產品上市後公司將擁有其在中國大陸、香港特別行政區及澳門特別行政區，不含台灣地區的獨家商業化權利。另，公司需支付授權產品在研發、申報及上市後各階段相應的費用、里程碑金及銷售提成。
LTS主要負責授權產品的研發和未來可能需要的工藝改良；授權產品及樣品的生產；以公司名義委託合同研究組織進行新藥註冊（IND）申報所需的臨牀前研究和分析工作（相關費用由公司承擔）；提供公司所要求的相關文件材料以及技術支持；LTS將成為授權產品的獨家供應商，授權產品包括但不限於供臨牀試驗及申報的授權產品臨牀樣品，及供商業化的授權產品。
公司主要負責授權產品在授權區域的臨牀研究、註冊申報、銷售及推廣等商業化活動。根據本協議約定，雙方將成立項目委員會及聯合指導委員會，共同協調及管理項目進度；及（ii）磋商一份由LTS生產授權產品並由本公司在授權區域商業化的生產及供應協議。公司應根據研發計劃和臨牀試驗中使用的授權產品，向LTS支付其在開發期間產生的所有人工成本。根據本協議，上述費用上限為320萬歐元（不包含由公司審閲及批准的額外研發費）。另，包括臨牀前及臨牀階段研究、申報階段、以及上市後營銷的成本與費用、以及從項目開始直到授權產品上市期間生產使用的所有原料藥成本均由公司承擔。
根據本協議，在獲授予許可權後，公司應先向LTS支付授權費100萬歐元（首付款）。公司在授權產品完成第一個IND申報批准、I期臨牀試驗、III期臨牀首次給藥、提交第一次NDA申請及第一次監管批准授權產品上市後，於各階段應向LTS支付相應的里程碑金，共計300萬歐元。
從授權產品首次商業銷售到授權產品的專利權期滿期間，公司應向LTS支付授權產品淨銷售額4%的浮動型銷售提成。如果第三方在授權區域的市場上推出了授權產品的仿製藥，則應減少浮動型銷售提成。
本次合作旨在發揮LTS在透皮技術領域研發優勢及公司在授權區域內商業化運營優勢，以實現互利共贏、共同發展的最終目標。本次合作將進一步拓展公司在精神神經領域的產品管線佈局，亦將進一步探索高端複雜製劑技術，不斷開發出國際及國內領先的創新藥品，符合公司中長期創新藥發展的戰略佈局。
