格隆匯 6 月 30日丨古兜控股(08308.HK)宣佈,於2020年6月30日,廣東古兜(公司間接全資附屬公司)與廣東奧園訂立第二份合作協議,據此,除第一份合作協議項下的目標土地A外,廣東古兜與廣東奧園同意進一步互相合作以規劃、開發及經營位於古兜温泉綜合度假村的目標土地B。

根據第二份合作協議,廣東古兜及廣東奧園同意互相合作以規劃、開發及經營目標土地B。目標土地B位於古兜温泉綜合度假村,由集團合法實益擁有,總佔地面積為63,797平方米,預期總樓面面積約為54,323平方米。

作為合作及共同安排的一部分:(a)廣東古兜將就共同安排提供目標土地B,而獨立估值師於2020年3月31日估值約為人民幣1.53億元;及(b)廣東奧園將負責為目標土地B以及將於目標土地B上搭建的建築及結構的開發、建造及管理提供資金,最大投資金額為人民幣3.57億元,此乃根據預期總樓面面積54,323平方米按每平方米人民幣6,565.3元計算得出。經雙方同意,估計每平方米約人民幣6,565.3元將用作於目標土地B搭建旅遊物業、設施及與搭建旅遊物業有關的其他基礎設施的建造成本。

經考慮訂立第一份合作協議的正面結果後,董事會認為廣東奧園加入第二份合作協議項下的目標土地B之開發項目能夠(i)確保有充足的投資資金以支持及促進集團的戰略規劃以及開發及銷售古兜温泉綜合度假村內的旅遊物業;(ii)自目標土地B之開發項目中獲益,所用方式為利用中國奧園於物業開發及文化旅遊方面的經驗以及其於粵港澳大灣區的成熟網絡及資源以創造協同效應;及(iii)憑藉開發第一份合作協議項下目標土地A的經驗,於開發目標土地B方面發揮更大效益及更高效率。
