中集集團(000039.SZ)：控股子公司中集車輛擬在深交所創業板上市
格隆匯 6 月 22日丨中集集團(000039.SZ)公告，2020年5月6日及2020年5月15日，中國國際海運集裝箱(集團)股份有限公司(以下簡稱“公司”，與其子公司合稱“集團”或“中集集團”)之控股子公司中集車輛(集團)股份有限公司(以下簡稱“中集車輛”)董事會審議同意中集車輛於境內首次公開發行人民幣普通股(A股)並在深圳證券交易所(以下簡稱“深交所”)創業板上市交易(以下簡稱“本次A股發行”或“A股發行”)，並對外披露了有關A股發行及其他相關議案之補充通函。2020年6月22日，中集車輛年度股東大會及中集車輛類別股東大會審議通過了本次A股發行及其他相關議案。
本次中集車輛A股發行上市方案初步擬定如下：
1、股票種類：境內上市的人民幣普通股(A股)。
2、股票面值：每股面值人民幣1.00元。
3、發行數量：本次A股發行股票數量不高於發行後中集車輛總股本的15%(包含超額配售選擇權)，且不超過31,147萬股(含31,147萬股)，如中集車輛在A股發行前發生送股、資本公積轉增股本等除權事項，則A股發行項下的A股數量將做相應調整。具體發行數量由中集車輛董事會根據中集車輛股東大會、中集車輛H股類別股東大會、中集車輛內資股類別股東大會的授權，按照國家法律法規和監管機構規定的條件及市場情況確定。在法律法規及監管機構許可的前提下，中集車輛與主承銷商可採用超額配售選擇權。
4、發行價格：發行價格將充分考慮中集車輛現有股東的整體利益，遵循市場化原則，根據A股發行時中國證券市場狀況，由中集車輛與主承銷商根據向網下投資者詢價結果協商定價或中國證監會或深交所認可的其他方式定價(其他定價方式亦須滿足中國證監會、深交所等監管機構頒佈的屆時有效的相關規定)，最終中集車輛與主承銷商確定的定價方式及確定的A股發行價格，中集車輛將於A股發行前另行公告。根據《中華人民共和國公司法》，A股的發行價不得低於中集車輛股份的面值，即每股股份人民幣1.00元。概無其他法定或監管規定訂明發行A股的價格下限。
本次A股發行擬募集資金扣除發行費用預計為人民幣20億，擬用於投資數字化轉型及研發項目、升級與新建“燈塔工廠”項目、新營銷建設項目，以及償還銀行貸款及補充流動資金。
