*ST節能(000820.SZ)：全資子公司江蘇院被申請破產清算
格隆匯 6 月 15日丨*ST節能(000820.SZ)公佈，近日通過網上查詢獲悉，根據債權人萬洲電氣股份有限公司(以下簡稱“萬洲電氣”)的申請，江蘇省南京市中級人民法院(以下簡稱“南京中院”)對萬洲電氣提出的對公司全資子公司江蘇省冶金設計院有限公司(以下簡稱“江蘇院”)破產清算一案進行了申請登記(案號：(2020)蘇01破申30號)。
(一)事件起因江蘇院於2015年9月7日同萬洲電氣簽訂了《設備採供合同》，合同金額78.6萬元。萬洲電氣已依合同約定履行應盡義務，江蘇院已支付70.74萬元貨款，尚欠萬洲電氣貨款7.86萬元。
(二)訴訟情況萬洲電氣以買賣合同糾紛向江蘇省南京市建鄴區人民法院(以下簡稱“建鄴法院”)起訴江蘇院，建鄴法院對該糾紛於2018年8月16日作出(2018)蘇0105民初3983號一審判決，判令江蘇院自判決生效之日起十日內向萬洲電氣支付貨款7.86萬元及逾期利息。
(三)江蘇院被申請破產情況近日公司通過網上查詢獲悉，根據債權人萬洲電氣的申請，南京中院對萬洲電氣提出的對公司全資子公司江蘇院破產清算一案進行了申請登記(案號：(2020)蘇01破申30號)。截至本公告披露日，江蘇院尚未收到相關的法律文書。
若南京中院受理上述破產申請，江蘇院將進入破產程序，進入破產程序後，公司將喪失對其控制權，江蘇院將不再納入公司合併報表範圍。
截至目前，公司對江蘇院的長期股權投資為34.6億元、債權3.99億、擔保金額為2.85億元，因江蘇院發行2億公司債而為北京中關村科技融資擔保有限公司提供了2億反擔保(目前中關村擔保已為江蘇院承擔了2800萬擔保責任)。若江蘇院進入破產清算程序，該長期股權投資、債權存在無法收回的風險，擔保責任並未消除，公司將按照相關規定計提減值準備並確認相應預計負債。江蘇院為公司旗下主要業務經營實體，目前經營業務基本處於停滯狀態，總承包的項目尚未復工，其破產可能導致公司成為沒有主營業務的上市公司，請廣大投資者注意風險。
