比亞迪(002594.SZ)：比亞迪半導體擬以增資擴股方式引入戰投
格隆匯6月15日丨比亞迪(002594.SZ)公佈，公司控股子公司比亞迪半導體有限公司(以下簡稱“比亞迪半導體”)以增資擴股的方式引入戰略投資者。
2020年6月15日，比亞迪召開第六屆董事會第三十九次會議，同意本公司及比亞迪半導體與愛思開(中國)企業管理有限公司、湖北小米長江產業基金合夥企業(有限合夥)、招銀成長叁號投資(深圳)合夥企業(有限合夥)、深圳市招銀共贏股權投資合夥企業(有限合夥)、湖北省聯想長江科技產業基金合夥企業(有限合夥)、珠海鎔聿投資管理中心(有限合夥)、珠海橫琴安創領鑫股權投資合夥企業(有限合夥)、蘇州聚源鑄芯創業投資合夥企業(有限合夥)、深圳安鵬創投基金企業(有限合夥)、珠海尚頎華金汽車產業股權投資基金(有限合夥)、深圳華強實業股份有限公司、上海元昊投資管理有限公司、寧波梅山保税港區博華光誠創業投資合夥企業(有限合夥)、廣州佳誠九號創業投資合夥企業(有限合夥)、深圳市鬆禾創業投資有限公司、深圳市創新投資集團有限公司、平潭華業成長投資合夥企業(有限合夥)、深圳市惠友豪創科技投資合夥企業(有限合夥)、深圳市共同家園管理有限公司、深圳市碧桂園創新投資有限公司、中小企業發展基金(深圳南山有限合夥)、深圳市遠致華信新興產業股權投資基金合夥企業(有限合夥)、深圳市伯翰視芯半導體合夥企業(有限合夥)、新餘華騰投資管理有限公司、Starlight Link Investment Company Limited、深圳市英創盈投資有限公司、深圳市天河星供應鏈有限公司、深圳市建信遠致智能製造股權投資基金合夥企業(有限合夥)、珠海火睛石網絡科技有限公司、上海正海聚億投資管理中心(有限合夥)(以上合稱“本輪投資者”)，簽署《投資協議》、《股東協議》及其附件和相關補充協議(若有)。
本輪投資者按照目標公司的投前估值人民幣75億元，擬向比亞迪半導體合計增資人民幣7.99億元，其中人民幣3202.107724萬元計入比亞迪半導體新增註冊資本，人民幣7.68億元計入比亞迪半導體資本公積，本輪投資者合計將取得比亞迪半導體增資擴股後7.843129%股權。
在本次增資擴股完成後，目標公司註冊資本為人民幣4.08億元。目標公司應將從本次投資中獲得的增資款全部用於主營業務，包括補充運營資本、購買資產、僱傭人員和研發，以及投資方認可的其他用途。
