*ST鼎龍(002502.SZ)：聘任龍學勤為公司總經理
格隆匯6月12日丨*ST鼎龍(002502.SZ)公告，公司分別於2020年6月12日召開的2019年年度股東大會審議通過了《關於選舉第五屆董事會非獨立董事的議案》、《關於選舉第五屆董事會獨立董事的議案》及《關於選舉第五屆監事會非職工代表監事的議案》，選舉產生了公司第五屆董事會董事和第五屆監事會非職工代表監事；於2020年6月11日召開的2020年第一次職工代表大會選舉產生了公司第五屆監事會職工代表監事；於2020年6月12日召開的第五屆董事會第一次(臨時)會議和第五屆監事會第一次(臨時)會議分別審議通過了選舉公司董事長、副董事長、董事會專門委員會委員、監事會主席及聘任公司高級管理人員和證券事務代表、審計部負責人等議案。截至本公告日，公司董事會、監事會換屆選舉已完成，高級管理人員和相關人員聘任也已完成，現將相關情況公告如下：
一、公司第五屆董事會組成情況
公司第五屆董事會由9名董事組成，其中非獨立董事6名，獨立董事3名，任期自2019年年度股東大會審議通過之日起三年；公司董事會下設戰略委員會、審計委員會、提名委員會、薪酬與績效考核委員會四個專門委員會，任期與第五屆董事會一致。根據2019年年度股東大會以及第五屆董事會第一次(臨時)會議的選舉結果，公司第五屆董事會組成情況如下：
1、董事長：龍學勤
2、副董事長：張家銘
3、董事會成員：龍學勤、張家銘、龍學海、楊芳、方樹坡、郭梓霖、何興強(獨立董事)、童澤恆(獨立董事)、張
需聰(獨立董事)
二、聘任高級管理人員及相關人員情況
根據第五屆董事會第一次(臨時)會議決議，公司聘任的高級管理人員及相關人員如下：
1、高級管理人員
(1)總經理：龍學勤
(2)副總經理：王小平
(3)董事會祕書：王小平
(4)財務總監：劉文康
上述人員均符合法律、法規規定的上市公司高級管理人員任職資格，不存在《公司法》、《公司章程》中規定的不得擔任公司高級管理人員的情形，不存在被中國證監會確定為市場禁入者且在禁入期的情況，未曾受到中國證監會和證券交易所的任何處罰和懲戒，亦不屬於失信被執行人。
以上高級管理人員(除總經理外)及相關人員任期三年，自第五屆董事會第一次(臨時)會議審議通過之日起至第五屆董事會屆滿之日止；截至第五屆董事會第一次(臨時)會議審議通過之日，龍學勤已辭去在公司控股股東單位的經理職務，但相關工商變更登記手續尚未完成，為保證公司的獨立性，龍學勤的總經理職務任期自上述相關工商變更登記完成之日起至第五屆董事會屆滿為止。
