榮豐控股(000668.SZ)擬引入寧湧超及和亞基金作為戰略投資者
格隆匯6月7日丨榮豐控股(000668.SZ)發佈公告，公司擬向蕪湖東旭威宇醫療器械科技有限公司的6名股東以發行股份的方式購買其合計持有的威宇醫療100%的股權，同時募集配套資金，募集配套資金總額不超過本次交易擬購買資產交易價格的100%。本次配套融資以本次發行股份購買資產的實施為前提，但本次發行股份購買資產不以本次配套融資的實施為前提，最終配套融資成功與否，不影響本次發行股份購買資產行為的實施。
榮豐控股於2020年6月5日召開第九屆董事會第十六次會議審議通過了相關的議案，公司同意引入寧湧超以及重慶和亞化醫投資管理有限公司(以下簡稱“重慶和亞”)擬設立的私募投資基金和亞化醫醫療器械產業投資基金(有限合夥)(擬定名，以下簡稱“和亞基金”,最終以實際核名為準)作為戰略投資者，並由寧湧超、和亞基金認購本次配套融資，公司與寧湧超、重慶和亞於2020年6月5日分別與公司簽署了《附條件生效的股份認購協議書》和《戰略合作協議》。
本次募集配套資金的發行數量不超過本次發行前上市公司總股本的30%，即不超過4405.26萬股，最終股份發行數量將由公司董事會根據股東大會授權與承銷機構在中國證監會最終核准的方案範圍內根據具體情況協商確定。本次募集配套資金的定價基準日為公司第九屆董事會第十六次會議決議公告日。本次募集配套資金的發行價格為10.00元/股，不低於定價基準日前20個交易日公司股票交易均價的80%。
公告表示，公司引入寧湧超、和亞基金作為戰略投資者，將藉助其產業背景以及產業資源優勢，重點在公司治理領域、市場開拓領域進行合作，實現資源共享、互惠互利、共同發展，提升公司的核心競爭力。公司本次引入戰略投資者有利於公司持續穩定發展，有利於維護公司中小股東的利益。本次交易預計不會導致公司的實際控制權發生變化，亦不會對公司的獨立運營、財務狀況和經營結果造成重大不利影響。
