ST羅頓(600209.SH)：羅衡機電擬轉讓8780萬股 控股股東及實控人擬變更
格隆匯6月3日丨ST羅頓(600209.SH)公佈，公司控股股東羅衡機電分別與蘇州永徽隆行股權投資合夥企業(有限合夥)(以下簡稱“永徽隆行”)、浙江紹興津津樂道投資合夥企業(有限合夥)(以下簡稱“津津樂道”)簽署《股份轉讓協議》，羅衡機電擬將其持有的公司股票8780萬股(佔公司總股本的19.99949%)轉讓給永徽隆行、津津樂道。其中永徽隆行受讓5339.85萬股公司股份，佔公司總股本的12.16%，股份轉讓的價格各方協商確定為6.086元/股，轉讓總價為人民幣3.25億元；津津樂道受讓3440.15萬股公司股份，佔公司總股本的7.84%，股份轉讓的價格各方協商確定為6.086元/股，轉讓總價為人民幣2.09億元。
股權協議轉讓完成後，浙數文化通過永徽隆行持有羅頓發展12.16%，永徽隆行將成為羅頓發展的第一大股東以及單一擁有表決權份額最大的股東，浙數文化將通過永徽隆行對羅頓發展董事會進行改組，進而擁有對羅頓發展的實際控制權。
經公司2020年6月3日召開的第七屆董事會第二十六次會議審議通過《關於公司2020年度非公開發行A股股票方案的議案》、《關於公司2020年度非公開發行A股股票預案的議案》等相關議案，浙數文化擬參與本次公司非公開發行A股股票認購，擬認購數量不超過7125.00萬股。
上述發行認購及股權協議轉讓完成後，浙數文化直接並通過永徽隆行合計控制羅頓發展1.25億股，佔羅頓發展非公開發行股票後總股本的21.84%。
截至本公告日，公司控股股東羅衡機電直接持有公司股份8780.24萬股，佔公司總股本的20.00005%。其中，累計質押公司股份數8780萬股，佔公司總股本的19.99949%，佔其所持公司股份的99.99722%；累計凍結公司股份數8780.24萬股。上述股票質押、凍結事項存在導致本次交易無法繼續推進的風險。
