凱升控股(00102.HK)擬按“2供3”基準進行供股 募資不超約16.42億港元
格隆匯6月2日丨凱升控股(00102.HK)發佈公告，待(其中包括)獨立股東於股東特別大會上批准後，董事會建議透過供股，按“2供3”的基準以認購價每股港幣0.6元募集不少於約港幣16.234億元(未扣除開支，並假設概無購股權獲行使)及不超過約港幣16.4186億元(未扣除開支，並假設所有購股權獲行使(購股權持有人承諾項下的購股權除外))。供股將由包銷商悉數包銷。
於該公告日期，(i)太陽城全資附屬公司勝天實益擁有約3.97億股股份，相當於公司現有已發行股份約22.01%；及(ii)太陽城實益擁有4930.2萬股股份，相當於公司現有已發行股份約2.73%。根據不可撤銷承諾，勝天及太陽城分別向公司提供不可撤銷及無條件承諾：(i)前述全部股份於記錄日期將繼續由各自實益擁有；及(ii)各自根據章程文件的條款及條件將會接納供股項下暫定配發予各自的約5.955億股供股股份及7395.3萬股供股股份並就此付款。
2020年6月1日，認購人與SunTrust訂立認購協議，據此，認購人同意認購可換股債券，可換股債券可根據可換股債券的條款及條件轉換為換股股份。
董事會建議，在聯交所買賣的股份每手買賣單位將由2000股更改為4000股，自2020年8月24日上午九時正起生效。為促進碎股(如有)買賣，公司將安排碎股對盤服務。
於該公告日期，公司的法定股本為港幣8000萬元(分為32億股股份)。公司建議將公司的法定股本增加至港幣1.5億元(分為60億股股份)。建議增加法定股本須待股東於股東特別大會上以普通決議案方式批准後，方可作實。
公司已成立獨立董事委員會，由全體獨立非執行董事(即林君誠、劉幼祥及李澤雄)組成，以分別就認購事項、供股、包銷協議、認購協議及據其擬進行的交易以及清洗豁免以及就此進行的投票行動向獨立股東作出建議。公司將委任獨立財務顧問，以就此向獨立董事委員會及獨立股東提供意見。
