西部牧業(300106.SZ)擬購買天山廣和100%股權 明日復牌
格隆匯6月1日丨西部牧業(300106.SZ)公佈，公司擬以發行股份方式購買天山軍墾、石河子國資公司合計持有的天山廣和100%股權，天山廣和100%股權的預估值和初步交易作價尚未確定。本次交易完成後，上市公司將持有天山廣和100%股權。本次發行股份購買資產的股份發行價格為5.96元/股。
同時，上市公司擬向不超過35名特定投資者以發行股份方式募集配套資金，募集配套資金總額預計不超過本次擬以發行股份方式購買資產交易價格的100%，擬用於“5000頭良種奶牛養殖建設項目”、支付本次交易的相關中介機構費用、補充上市公司流動資金及償還債務，募集資金具體用途及金額將在重組報告書中予以披露。本次募集配套資金髮行股份的數量不超過上市公司本次交易前總股本的30%(即不超過63,399,693股)，最終發行數量將在中國證監會核准後，按照《發行管理辦法》的相關規定，根據詢價結果最終確定。
本次發行股份募集配套資金髮行股份的數量不超過上市公司本次發行前總股本的30%，即不超過6339.97萬股，募集配套資金預計不超過本次擬以發行股份方式購買資產交易價格的100%。
本次交易前，上市公司主要經營乳製品加工與銷售、飼料生產與銷售等業務。本次上市公司擬收購的標的資產主營奶牛養殖，並對外供應生鮮乳，系乳製品加工與銷售業務的上游、飼料生產與銷售的下游。生鮮乳是乳製品企業的主要原材料，穩定優質的奶源供應是乳製品企業生產的前提條件，對奶源的控制能力同時也對乳製品質量的穩定、可靠性具有重大影響。
本次交易完成後，上市公司將實現對飼料生產與銷售、奶牛養殖與生鮮乳供給、乳製品加工與銷售等產業鏈的打通與融合，有利於幫助上市公司把握行業發展機遇，加快佔領市場份額和行業整合，擴大人才團隊，增強協同效應。同時，通過對奶源基地的控制，解決飼料業務的市場需求，滿足乳製品加工的生鮮乳供應，保證乳製品前端質量控制，為上市公司快速、健康發展提供堅實的基礎。
公司股票將於2020年6月2日(星期二)開市起復牌。
