山東路橋(000498.SZ)：全資子公司擬通過收購存量股權並對其增資的方式收購中鐵隆公司控股權
格隆匯6月1日丨山東路橋(000498.SZ)公佈，進一步拓展經營領域，做大做強施工主業，實現市場多元化和高質量發展，公司全資子公司山東高速路橋投資管理有限公司(“路橋投資公司”)擬通過收購存量股權並對其增資的方式收購中鐵隆工程集團有限公司(“中鐵隆公司”、“目標公司”)控股權。轉讓方成都凱祺瑞企業管理有限公司(“凱祺瑞公司”)為新加坡上市公司盛世企業有限公司間接持股的下屬子公司，現持有中鐵隆公司99.6%股權。此次交易由以下兩部分組成：
1．路橋投資公司以2.8億元的價格收購凱祺瑞公司持有的中鐵隆公司約2.63億元股權，佔中鐵隆公司現有股權的43.87%，佔交易完成後中鐵隆公司股權的39.22%。
2．路橋投資公司以約7565.42萬元增資認購中鐵隆公司約7112.5萬元股權，佔交易完成後中鐵隆公司股權的10.6%。
以上兩部分交易不可分割並同時進行，交易總金額為約3.56億元，交易完成後，路橋投資公司合計持有中鐵隆公司49.82%股權。
值得注意的是，公司重大風險提示：
1.此次交易協議尚待通過行政主管機關關於經營者集中的審核同意並經轉讓方及目標公司完成此次交易所需的一切必要的內部審批程序後生效。
2.此次交易實施需以交易協議生效且目標公司原股東書面同意放棄優先購買標的股權及對目標公司增資的權利；目標公司股權質押權利人書面同意此次交易，並承諾配合辦理相關手續；轉讓方、受讓方及目標公司已履行完成此次交易所需的一切必要的內部審批程序，包括但不限於盛世企業有限公司股東大會批准和新加坡證券交易所(“新交所”)要求的審批程序為前提。此次交易能否順利完成存在不確定性。
3.交易完成後上市公司將對目標公司合併財務報表。目標公司核心業務包括城市軌道交通基礎設施及水環境治理等，該領域的市場受國家宏觀政策的影響較大，未來存在市場飽和、競爭加劇的風險。目標公司在此次交易完成後存在公司治理、財務管理及內部控制等方面的磨合風險。
