唐德影視(300426.SZ)：籌劃控制權變更 5月26日下午開市起停牌
格隆匯5月26日丨唐德影視(300426.SZ)公佈，公司於今日收到公司控股股東吳宏亮的通知，吳宏亮正在籌劃股份轉讓及表決權委託事宜，初步方案如下：
吳宏亮擬分別將所持公司2094.595萬股股份(佔公司總股本的5%)和1708.1066萬股股份(佔公司總股本的4.08%)轉讓給浙江易通數字電視投資有限公司(“浙江易通”，為浙江廣播電視集團下屬全資子公司)和東陽聚文影視文化投資有限公司(“東陽聚文”，為東陽市人民政府國有資產監督管理辦公室下屬控股的子公司)，並將所持公司9865.405萬股股份(佔公司總股本的23.55%)的表決權委託給浙江易通，吳宏亮還將同時協調第三方股東向東陽聚文轉讓其所持公司386.4884萬股股份(佔公司總股本的0.92%)。
上述交易完成後，浙江易通將持有公司2094.595萬股股份(佔公司總股本的5%)，擁有公司1.196億股股份(佔公司總股本的28.55%)的表決權，成為公司的控股股東，浙江廣播電視集團將成為公司的實際控制人。
吳宏亮後擬進一步將其所持公司3715.8115萬股份(佔公司總股本的8.87%)於相應股份解除限售後轉讓給浙江易通，同時將其所持有公司712.1623萬股股份(佔公司總股本的1.70%)於相應股份解除限售後轉讓給東陽聚文。
同時，公司擬非公開發行股票，擬向浙江易通和東陽聚文非公開發行股份共計125,675,700股(佔公司發行前總股本的30%)，其中，浙江易通認購104,729,750股(佔公司發行後總股本的19.23%)，東陽聚文認購2094.595萬股(佔公司發行後總股本的3.85%)。
上述全部交易完成後，浙江易通將持有公司162,833,815股股份(佔公司發行後總股本的29.90%)，東陽聚文將持有公司4901.3523萬股股份(佔公司發行後總股本的9%)，吳宏亮將持有公司6980.1311萬股股份(佔公司發行後總股本的12.82%)。
吳宏亮擬待與浙江易通、東陽市金融控股有限公司、東陽聚文簽署相關協議時同步終止《吳宏亮與東陽市金融控股有限公司、東陽聚文影視文化投資有限公司關於浙江唐德影視股份有限公司之股份轉讓意向性協議》。上述事項可能涉及公司控制權變更。該事項尚需取得相關主管部門的審批。
經公司向深圳證券交易所申請，公司股票自2020年5月26日下午開市起停牌，預計停牌時間不超過5個交易日。
