天澤信息(300209.SZ)：公司實控人將變更為肖四清
格隆匯5月25日丨天澤信息(300209.SZ)發佈控股股東、實際控制人簽署股份轉讓等協議暨實際控制權擬發生變更的公告(交易方案調整後)，2020年5月25日，無錫中住集團有限公司(“中住集團”)、湖南瀟湘鑫晟私募股權基金合夥企業(有限合夥)(“瀟湘鑫晟基金”)、孫伯榮以及肖四清等四方共同簽署了《關於天澤信息產業股份有限公司股份轉讓協議之補充協議》，對中住集團、孫伯榮與瀟湘鑫晟基金等三方此前簽署的《關於天澤信息產業股份有限公司股份轉讓協議》的部分約定進行了變更調整，同時中住集團與瀟湘鑫晟基金雙方同意終止此前簽署的《表決權委託協議》和《放棄行使表決權協議》。
根據約定，此次股份轉讓完成後，中住集團直接持有公司5356.1487萬股股份，佔公司總股本的12.57%、佔公司總股本剔除公司回購專用賬户中的股份數量1的12.76%；一致行動人孫伯榮直接持有公司3298.132萬股股份，佔公司總股本的7.74%、佔公司總股本剔除公司回購專用賬户中的股份數量的7.86%；瀟湘鑫晟基金直接持有公司852.3394萬股股份，佔公司總股本的2.00%、佔公司總股本剔除公司回購專用賬户中的股份數量的2.03%。
2020年5月25日，中住集團與肖四清簽署了《表決權委託協議》，根據約定中住集團及一致行動人孫伯榮合計擁有上市公司3298.132萬股股份對應的表決權，佔公司總股本的7.74%、佔公司總股本剔除公司回購專用賬户中的股份數量的7.86%；肖四清除直接、間接持有公司合計4806.674萬股股份外，通過《表決權委託協議》將合計擁有上市公司101,628,227股股份對應的表決權，佔公司總股本的23.85%、佔公司總股本剔除公司回購專用賬户中的股份數量的24.22%。
此次權益變動完成後，公司將由控股股東中住集團、實際控制人孫伯榮變更為控股股東、實際控制人均為肖四清。
