經公司自查，並向直接控股股東鳳凰光學控股有限公司及間接控股股東中電海康集團有限公司核實，除公司已披露的事項外，不存在其他應披露而未披露的重大信息。
針對公司股票異常波動，公司對有關事項進行了核查，並問詢了公司直接控股股東鳳凰光學控股有限公司及間接控股股東中電海康集團有限公司，有關情況説明如下：
(一)生產經營情況
經公司自查，截至目前，公司經營狀況正常，內外部經營環境未發生重大變化，也不存在應披露而未披露的重大信息。
(二)重大事項情況
經公司自查：
天津力神擬以實物資產對公司控股子公司鳳凰新能源進行增資。目前，公司持有鳳凰新能源55%股權，系其控股股東，增資完成後，天津力神成為鳳凰新能源參股股東，公司仍為鳳凰新能源控股股東。天津力神與本公司的實際控制人均為中國電子科技集團有限公司，本次增資購成關聯交易。本次增資已經公司間接控股股東中電海康討論原則同意，尚需經公司董事會審議通過後簽署正式增資協議。
截至2019年12月31日，鳳凰新能源總資產19,462.47萬元，淨資產9,226.86萬元。2019年度，鳳凰新能源實現營業收入21,779.10萬元，營業利潤-639.97萬元。
除上述事項外，經公司向直接控股股東鳳凰光學控股有限公司及間接控股股東中電海康集團有限公司問詢，不存在影響公司股票交易價格異常波動的重大事項；不存在涉及公司應披露而未披露的重大信息，包括但不限於重大資產重組、收購、債務重組、業務重組、資產剝離、資產注入、股份回購、股權激勵、破產重整、重大業務合作等重大事項。
(三)媒體報道、市場傳聞、熱點概念情況
經公司自查，目前尚未發現存在可能或已經對上市公司股票交易價格產生影響的媒體報道或市場傳聞，亦不涉及熱點概念事項。
(四)其他股價敏感信息
經公司自查，未發現公司董事、監事、高級管理人員、控股股東及其一致行動人在異動期間買賣公司股票的情況。
