*ST藏格(000408.SZ)：股票交易異常波動 對控股股東違規佔用資金正進行自查
格隆匯5月21日丨*ST藏格(000408.SZ)發佈公告，公司股票(證券簡稱：*ST藏格，證券代碼：000408)連續3個交易日(2020年5月14日、2020年5月15日、2020年5月18日)收盤價格漲幅偏離值累計超過12%，根據《深圳證券交易所交易規則》的規定，屬於股票交易異常波動情況。
針對公司股票異常波動，公司對有關事項進行了核查，有關情況説明如下：
1、公司2019年財務報告被審計機構出具無法表示意見的審計報告，公司股票交易被深圳證券交易所實施“退市風險警示”處理，具體內容詳見公司於2020年4月30日在巨潮資訊網上披露的《關於公司股票交易被實行退市風險警示暨停牌的公告》(2020-12)。
2、2019年年度報告披露後，公司對控股股東及其關聯方違規佔用資金情況進行了自查，就控股股東及其關聯方涉嫌的資金佔用規模、形成時間、佔用原因、佔用過程進行詳細查證。截止目前清理出非經營性資金佔用情況，詳見公司於5月14日在巨潮資訊網上披露的《關於深圳證券交易所關注函回覆的公告》(2020-20)。目前上述自查仍在進行中，如在自查中發現存在需要對前期披露的信息進行更正、補充的，公司將及時根據相關法律法規的規定履行信息披露義務。
3.公司於2020年5月19日收到深圳證券交易所下發的《關於對藏格控股股份有限公司的年報問詢函》公司部年報問詢函〔2020〕第80號文件。
4、公司未發現近期公共傳媒報道了可能或已經對本公司股票交易價格產生較大影響的未公開重大信息。5、近期公司經營情況及內外部經營環境未發生重大變化。
6、為儘快解決非經營性佔用公司資金等問題，目前控股股東、實際控制人正在積極處置其持有的西藏巨龍銅業有限公司股權，目前意向購買方已基本完成盡職調查工作，交易已進入實質談判階段，預計將於6月13日前完成交易。交易完成後，控股股東將喪失對巨龍銅業的控制權，控股股東和實際控制人承諾此次交易股權轉讓款將優先償還佔用的上市公司資金。上述具體內容詳見公司於5月14日在巨潮資訊網上披露的《關於深圳證券交易所關注函回覆的公告》(2020-20)。除上述事項外，控股股東和實際控制人不存在關於本公司的應披露而未披露的重大事項，或處於籌劃階段的重大事項。
7、經核查，公司控股股東、實際控制人在股票異動期間不存在買賣公司股票的行為。
