青松股份(300132.SZ)：全資子公司擬4.3億元收購諾斯貝爾10%股份
格隆匯5月6日丨青松股份(300132.SZ)公佈，公司於2020年5月6日召開第三屆董事會第四十四次會議、第三屆監事會第三十四次會議，會議審議通過了《關於收購控股子公司10%股份暨關聯交易的議案》，同意公司全資子公司廣東領博科技投資有限公司(“廣東領博”)以現金方式收購諾斯貝爾(香港)無紡布製品有限公司(“香港諾斯貝爾”)持有的諾斯貝爾化粧品股份有限公司(“諾斯貝爾”或“標的公司”)10%股份，交易對價為人民幣4.3億元。此次交易構成關聯交易，並需提交公司股東大會審議。此次交易完成前，公司持有諾斯貝爾90%股份，系諾斯貝爾的控股股東；此次交易完成後，公司及全資子公司廣東領博將合計持有諾斯貝爾100%股份。
諾斯貝爾化粧品股份有限公司經營範圍：生產、銷售：化粧品、消毒產品【消毒劑、化粧棉、濕巾、衞生濕巾、抗(抑)菌製劑】；醫療器械生產(含第一、二、三類)；第一類醫療器械經營；第二類、第三類醫療器械經營；生產經營無紡布及其製品；貨物或技術進出口(國家禁止或涉及行政審批的貨物和技術進出口除外)。(上述經營範圍涉及貨物進出口、技術進出口)(以上項目不涉及外商投資准入特別管理措施)(依法須經批准的項目，經相關部門批准後方可開展經營活動。)
公司通過全資子公司廣東領博收購諾斯貝爾10%股份，是基於公司認可諾斯貝爾未來發展前景。此次收購諾斯貝爾10%股份有利於公司對化粧品板塊業務進行整體整合，減少了少數股權對公司利潤攤薄的影響，提升了公司的核心競爭力和盈利能力。同時，有助於進一步加強公司對子公司的控制和管理，提高決策效率。
此次收購諾斯貝爾10%股份完成後，公司直接持有諾斯貝爾90%股份，並通過全資子公司廣東領博間接持有諾斯貝爾10%股份，合計持有諾斯貝爾100%股份，不會導致合併報表範圍發生變化，不會對公司經營和財務狀況產生不利影響，也不存在損害公司及全體股東利益的情形。
