中國誠通發展集團(00217.HK)擬約2.41億元出售誠通投資全部股權
格隆匯5月5日丨中國誠通發展集團(00217.HK)發佈公告,2020年5月5日,公司與誠通控股全資附屬中國誠通香港有限公司(買方)訂立股權轉讓協議,據此,買方有條件同意收購目標公司全部已發行股本,代價約為人民幣2.41億元。
目標公司誠通投資集團有限公司於2009年3月註冊成立,從事投資控股業務,目前由公司全資擁有。目標公司目前擁有誠通亞洲投資(於2009年4月註冊成立)的全部已發行股本,誠通亞洲投資從事投資控股業務。
大豐海港於2005年12月成立,目前由誠通亞洲投資擁有約66.67%及合營夥伴擁有約33.33%,大豐海港從事物業發展業務。大豐海港於江蘇省大豐市大豐海洋經濟開發區的港口服務區擁有房地產發展項目“城通國際城”。“城通國際城”是一個商住綜合體,包括七棟住宅樓以及兩棟商業及寫字樓。於2019年12月31日,“城通國際城”的已竣工及未售面積包括住宅面積約1.093萬平方米及商業空間面積約9,540平方米。
除上文所述者外,大豐海港亦擁有(i)位於江蘇省大豐市疏港路南側的一幅工業用地,佔地面積約為54.96萬平方米;及(ii)位於江蘇省大豐市大豐海洋經濟開發區的港口服務區的三幅商住用地,總佔地面積約為44.66萬平方米。於該公告日期,該等土地閒置。
公告表示,集團一直通過大豐海港於江蘇省大豐市經營其物業發展業務。然而,大豐市為中國的三╱四線城市,近年來該地區的房地產市場一直不景氣。監於集團近年來的總體策略是逐步撤出現有的物業發展項目,股權轉讓將令集團能夠更有效地重新分配其資源,長遠而言增強其於其他核心業務分部的營運及業務前景。
股權轉讓的所得款項淨額將用作發展集團其他主要業務及一般營運資金。根據初步評估,預計本集團將因股權轉讓錄得收益約人民幣4203.5萬元。集團因股權轉讓將錄得的實際收益或虧損須待公司核數師進行最終審計後方可作實。由於目標集團的資產佔集團總資產的比例不大,故股權轉讓不會對集團產生實質性不利影響。
