河鋼股份(000709.SZ)：收購河鋼樂亭鋼鐵100%股權
格隆匯4月23日丨河鋼股份(000709.SZ)公佈，公司於2020年4月21日與宣化鋼鐵集團有限責任公司(“宣鋼集團”)簽署了《股權轉讓協議》，收購其合計持有的河鋼樂亭鋼鐵有限公司(“河鋼樂亭”)100%股權，交易作價合計為標的資產評估值約10.01億元加上標的資產過渡期權益變動額。
此次交易對方宣鋼集團為公司間接控股股東河鋼集團有限公司全資子公司，根據《深圳證券交易所股票上市規則》有關規定，宣鋼集團與公司構成關聯關係，此次交易構成關聯交易。
河鋼樂亭鋼鐵項目一期於2018年3月開工建設，生產規模為年產生鐵732萬噸、鋼747萬噸和鋼材710萬噸(410萬噸精品板材，300萬噸優特鋼長材)，主要建設內容：2922立方米高爐3座、100噸轉爐3座、200噸轉爐2座、棒材生產線1條、精品高速線材生產線4條、棒卷複合生產線1條，2050毫米熱軋帶鋼生產線1條，酸洗生產線1條，熱基熱鍍鋅生產線1條、2030毫米酸軋聯合生產線1條、連續退火生產線1條、熱鍍鋅生產線2條，以及配套公輔設施。一期項目建設總投資為420億元，目前已支付建設資金136.47億元(以上數據未經審計)。
河鋼樂亭鋼鐵項目佔地8145畝，目前已辦理土地證的土地有6宗共5381畝，其餘土地2764畝正在辦理中，預計取得全部土地證的時間為2020年6月底前。
河鋼樂亭鋼鐵項目於2018年3月開工建設。除冷軋項目暫停，其他項目計劃於2020年5月-9月陸續完工。
收購河鋼樂亭，為河鋼股份帶來生鐵732萬噸、鋼747萬噸和鋼材710萬噸的生產能力。河鋼樂亭產品和用户定位高端，建設目標為“綠色化、智能化、品牌化”的當代國內外最先進鋼鐵企業，擁有良好的發展前景和盈利預期。置入河鋼樂亭優質資產，有利於改善河鋼股份資產質量和產品結構，提升上市公司的產品競爭力。
標的公司與上市公司協同性好，能夠在交易完成後充分利用上市公司原有流動資產、人力資源、供應渠道、融資渠道、市場渠道及客户資源、生產經營資質等，實現交易完成後生產運營、經營管理的銜接和平穩過渡。
河鋼樂亭產品和用户定位高端，建設目標為“綠色化、智能化、品牌化”的先進鋼鐵企業，擁有良好的發展前景和盈利預期。收購河鋼樂亭，有利於改善河鋼股份資產質量和產品結構。
河鋼樂亭與上市公司協同性好，能夠在交易完成後充分利用唐山分公司原有流動資產、人力資源、供應渠道、融資渠道、市場渠道及客户資源、生產經營資質等，實現收購後生產運營、經營管理的銜接和平穩過渡。
