渣打集團(02888.HK)修訂出售Permata股份協議的條款。
格隆匯4月20日丨渣打集團(02888.HK)發佈公告,公司全資附屬公司渣打銀行及其合作伙伴 PT Astra International Tbk與 Bangkok Bank Public Company Limited(買方)已同意修訂於2019年12月12日公佈有關出售彼等於PT Bank Permata Tbk合共89.12%股權的協議的條款。
買方已取得其股東對該交易的批准。預期Permata的股東將會在訂於2020年4月23日舉行的股東特別大會上批准該收購計劃,而渣打銀行及Astra均有權於該股東特別大會上就彼等各自的44.56%股權作出投票。該交易仍須待達成若干條件(包括取得印尼監管機構的必要批准)後方可作實。
該交易各方已同意將購買價由2020年3月31日Permata股東權益的1.77倍修訂為1.63倍,但前提是該交易須於2020年6月30日或之前交割。
