國美零售(00493.HK)向拼多多發行2億美元可換股債券
國美零售(00493.HK)公布,於本月17日向拼多多發行總值2億美元的3年期可換股債券,年利率5%,初步股份轉換價為每股股份1.215元,較17日收市價溢價66.44%。
公告指,假設可換股債券已悉數行使轉換權,將配發及發行12.83億股新股份,佔公司經配發及發行轉換股份擴大後的已發行股本約5.62%。
國美表示,同時與拼多多旗下的上海尋夢訂立協議,就產品採購及銷售、資源合作及支付、聯合市場推廣及其他服務展戰略合作,相信可實現雙方優勢資源共享,持續拓展線上線下融合的新零售模式。
