綠城中國(03900.HK)與新湖中寶訂立股份轉讓及項目合作協議
格隆匯4月19日丨綠城中國(03900.HK)宣佈，於2020年4月19日，公司全資附屬綠城房地產集團有限公司、賣方新湖中寶股份有限公司、目標公司浙江啟豐、金谷置業、瀋陽新湖明珠置業有限公司(連同金谷置業統稱為"項目公司")及沈陽新湖訂立股份轉讓及項目合作協議。據此，買方同意收購目標公司股份總數的100%，而買方應付賣方交易價款總額為人民幣3.79億元，當中包括股份轉讓代價人民幣1.86億元，及買方向項目公司提供人民幣1.93億元的貸款，作為財務資助。
於協議日，各項目公司及沈陽新湖均由賣方實際持有100%股權，目標公司及沈陽新湖分別持有項目公司35%及65%股權。訂立協議主要旨在載列與賣方(間接通過沈陽新湖)合作發展項目公司的條款。據此，各訂約方須按照買方持有35%(間接通過目標公司)及賣方持有65%(間接通過沈陽新湖)的比例共享項目公司的利益及分擔風險。項目公司目前於中國瀋陽營運三個房地產開發項目。
待協議中的先決條件達成後，收購事項將於向相關政府機關完成目標公司股東變更註冊後落實。於收購事項完成後，買方將(通過目標公司)間接享有和承擔項目公司應占權利及義務的35%。
董事會認為，收購事項將有助於集團間接參與項目公司目前營運的三個房地產開發項目(即(i)位於中國瀋陽的仙林金谷項目，總建築面積約為589,015.07平方米；(ii)位於中國瀋陽的新湖灣項目，總建築面積約為187,420.87平方米；及(iii)位於中國瀋陽的新湖美麗洲項目，總建築面積約292,527.28平方米)，充分依託賣方集團在中國瀋陽的豐富開發和運營經驗，為集團在中國進一步多元化發展房地產開發業務提供更多機會。
據悉，賣方為於中國成立的有限公司，其股份於上海證券交易所上市(股票代碼：600208)，同時是滬深300指數成份股，其主要於中國從事商業，物業和金融業務。集團與賣方集團將努力不時探索在各類項目中開展業務合作的機會，特別是在集團日常及一般業務涉及的中國房地產領域。集團亦將適時積極探索與賣方集團進行更廣泛、深入的業務合作。
