利興發展(00068.HK)：PureCircle與投標公司達成買賣共識
格隆匯4月15日丨利興發展(00068.HK)公佈，於英國時間2020年4月9日，PureCircle Limited宣佈其已與投標公司Ingredion SRSS Holdings Limited（一家為了收購事項而在英格蘭及威爾斯法律下成立的私人有限公司）達成共識。該收購事項將在法院會議及股東大會得到所需的PureCircle股東多數票的批准及法院的認可後，並完成其他條件的前提下，擬透過百慕達公司法第99節條文項下的協議安排實施。
在收購事項的條款中，PureCircle的股份持有人將有權利以1股PureCircle股份換取100便士的現金代價或選擇以1股PureCircle股份換取1股投標公司股份。股份選項以1.12億的投標公司股份為上限。如選擇股份選項的份數未能被完全滿足，股份選項將會按選擇股份選項的數量以及以現金方式支付PureCircle股份持有人後剩餘的代價，按比例進行計算。
完成收購事項後，集團將不會持有PureCircle Limited的任何權益。發放至集團的投標公司股份將取決於PureCircle Limited股份持有人選擇股份選項的數量程度。假設所有PureCircle股份持有人均選擇股份選項，集團將在收購事項的條款下獲得至少490萬英鎊的現金。
自2022年起的連續三年，少數股東將擁有可要求Ingredion每年購買累計6.25%的已發行的投標公司股份的沽權證，以及自2025年起，少數股東可沽售任何剩餘的投標公司股份的普通Ｂ股。自生效日期起五週年後，Ingredion有權利行使一份要求各仍然持有投標公司股份的少數股東出售該等股份的認購證。另外，Ingredion亦有權自2022年起的連續四年向少數股東發出購買每年累計共6.25%已發行的投標公司股份的要約。然而，Ingredion並無義務於2022年起連續三年，每年透過沽權證或購買要約去取得多於6.25%已發行的投標公司股份。
投標公司是一家於2020年4月1日在英格蘭與威爾斯法律下注冊成立並於收購事項前取得PureCircle股份的公司。投標公司於註冊成立後並無進行任何交易。於本公告日期，投標公司由Ingredion全資擁有。完成收購事項後，在考慮將會發行及分配至部份選擇股份選項的PureCircle股份持有人（包括集團）的投標公司股份份額後，投標公司將會分別由Ingredion持有75%股份及部份選擇股份選項的PureCircle股份持有人將持有25%股份。
