三聚環保(300072.SZ)簽署《關於發展新型綠色生物能源產業的合作框架協議》
格隆匯4月7日丨三聚環保(300072.SZ)公佈，為了積極響應國家鼓勵生物柴油產業發展的政策，推動建立健全綠色低碳循環發展的經濟體系，公司(“甲方”)與海南齊魯發展有限公司(齊魯交通發展集團有限公司全資子公司，“海齊發展”或“乙方”)、莒縣人民政府(“丙方”)、莒縣國有資本控股集團有限公司(“莒縣國控”或“丁方”)四方本着友好協商、優勢互補、互惠互利的原則，就“重組日照中泓石化有限公司(莒縣國控下屬全資子公司，“中泓公司”或“標的公司”)，並以重組後的新公司作為項目主體平台，推動新型綠色生物能源產業發展”等事宜於2020年04月07日共同簽署了《關於發展新型綠色生物能源產業的合作框架協議》。
日照中泓石化有限公司經營範圍：化工產品(易燃易爆等危險化學品除外)銷售，普通貨物進出口，但國家限定公司經營或禁止進出口的商品和技術除外。(依法須經批准的項目，經相關部門批准後方可開展經營活動)
戰略合作目標：1、積極響應國家鼓勵生物柴油產業發展的政策，推動建立健全綠色低碳循環發展的經濟體系。
2、充分發揮甲乙丙丁四方各自的技術、產業與資本優勢，組建新公司作為項目平台主體，加快綠色技術推廣應用，合力打造我國首張生物能源產業基地新名片。實現綠色低碳發展，減緩温室氣體排放，推動能源轉型，開創工業發展和生態環保互促雙贏的產業佈局。
中泓公司為此次股權合作進行重組的公司主體。甲乙丁三方對標的公司進行股權投資，將標的公司註冊資本增至7.00億元。
該協議簽署後，三聚環保將與海齊發展、莒縣國控在生物質能源領域展開深入合作，各方將充分發揮並挖掘各自的核心資源優勢，推進生物質綠色能源生產裝置儘快在山東莒縣落地。目前，三聚環保已完全掌握懸浮牀核心工藝技術和裝備，可以將廢棄生物質低成本、高效環保的轉化成綠色生物汽柴油、航煤等清潔油品和化學品，為解決生物質大規模利用，實現經濟性的替代化石能源與化學品開創了一條全新的途徑。各方合作將有助於進一步促進公司實現綠色發展的戰略佈局，推動公司向綠色能源產業的專業化發展和轉型升級，提升公司的盈利能力。此次協議簽訂不存在損害公司及全體股東利益的情形，符合公司戰略發展規劃，有利於公司長遠發展。
