華訊方舟(000687.SZ)：相關方將繼續就華訊科技控股權事項進行協商儘快簽署正式協議
格隆匯4月2日丨華訊方舟(000687.SZ)公佈，公司於2020 年1 月22 日發佈了《關於控股股東簽署股權投資合作框架協議暨公司實際控制人可能發生變更的提示性公告》，於2020年1月23日發佈了《關於控股股東與仁東集團簽署補充協議的公告》。仁東集團有限公司(“仁東集團”)擬通過增資公司控股股東華訊方舟科技有限公司(“華訊科技”或“控股股東”)、受讓華訊科技股權等方式累計取得華訊科技不低於51%的股權，達到控股地位。
與此同時，協議方一致確認並同意，吳光勝將其名下持有的華訊科技33.8599%股權(對應15992萬元出資額)，並協調華訊科技其他股東將其持有的華訊科技不低於17.1401%股權，合計不低於51%股權(即“託管股權”)，委託仁東集團管理，由仁東集團依其經營管理方式統一進行管理。
根據仁東集團與華訊科技簽署的《華訊方舟科技有限公司與仁東集團有限公司股權投資之合作框架協議》的約定，“如截至2020 年3 月31 日各方仍未能簽署正式託管協議的，本條款自動失效”。
2020年4月2日，公司收到華訊科技出具的《華訊方舟科技有限公司與仁東集團有限公司股權投資事項的進展情況説明》，因疫情影響，原定於在2020年3月31日前簽署正式託管協議的計劃無法按期實施，雙方目前正就協議的具體細節進行商討。經華訊科技與仁東集團溝通，上述進展情況説明如下：
第一，雙方決定繼續推進上述項目的正式文件簽署工作，原定通過增資和/或購買原股東股權的方式取得股權、表決權委託等具體方式尚在商討中。第二，目前雙方團隊已就華訊科技業務展開比較深入的合作，如天谷和金融板塊，雙方已開展了實質性的合作，加速推進華訊科技關於本次事項具體的梳理工作。第三，雙方將繼續就華訊科技控股權事項進行協商儘快簽署正式協議，並及時對外披露。
