美晨生態(300237.SZ)：全資子公司與澳大利亞柯藍集團終止工業大麻項目
格隆匯4月2日丨美晨生態(300237.SZ)公佈，公司之全資子公司杭州賽石園林集團有限公司(“賽石園林”或“乙方”)與Careline Group Australia Pty Ltd(中文名：澳大利亞柯藍集團)(“柯藍集團”或“甲方”)雙方本着互惠互利、共同發展的精神，經友好協商，就工業大麻的研發、選育、種植和應用推廣等方面建立戰略合作關係，並於2019年05月06日在杭州市簽訂《杭州賽石園林集團有限公司與Careline Australia Pty Ltd(澳大利亞柯藍集團)戰略合作框架協議書》。
相關《戰略合作框架協議書》簽訂後，雙方就擬合作的工業大麻項目進行了前期論證、現場考察及後期的再論證等工作。截止公告日，《戰略合作框架協議書》中涉及的前期合作準備，包括柯藍集團利用澳大利亞對於工業大麻種植、銷售等方面的政策法規優勢，進行與工業大麻相關的產品開發，並獲取相關的法律許可、柯藍集團為雙方在澳大利亞合作種植進行可行研究，並初步完成種植場地的選址工作等也未取得實質性的進展。同時基於現實因素(新冠肺炎疫情全球蔓延趨勢)考慮，雙方同意並確認終止擬合作的此次工業大麻項目，暨終止解除雙方已簽署的相關項目《戰略合作框架協議書》。為合作項目，雙方所支付的相關費用由各自承擔。雙方對項目的合作再無其他任何爭議。
賽石園林與柯藍集團簽署的《戰略合作框架協議書》屬於框架性合作協議，僅為合作雙方意向合作的初步洽談結果，投資項目尚未形成具體的可行性研究報告，非正式合同，合作雙方均未簽訂有約束力的合同及承諾，也未有任何相應的重大資金支出，終止上述《戰略合作框架協議書》對公司生產經營以及利潤無重大影響，不對公司當期損益及股東權益產生不利影響，也不影響公司未來工業大麻相關的發展規劃。公司將繼續利用各種資源和優勢，推動公司在國內國際工業大麻領域的相關合作快速落地，持續健康發展，提升公司競爭力。
