宇信科技(300674.SZ)擬放棄珠海宇誠信增資優先認繳出資權 持股降至47.21%
格隆匯3月30日丨宇信科技(300674.SZ)公佈，公司現持有控股子公司珠海宇誠信科技有限公司(“珠海宇誠信”)70%的股權。珠海宇誠信根據目前資產負債及日常資金需求情況，擬將註冊資本由1億元增加至1.48265億元，公司擬放棄此次增資的優先認繳出資權。珠海宇誠信原少數股東方劉敬東、張昱以及新投資人珠海宇琴鴻泰信息諮詢有限公司(“宇琴鴻泰”)三方共計以現金9653.00萬元對珠海宇誠信進行增資，其中4826.50萬元計入註冊資本，4826.50萬元計入資本公積金。此次增資完成後，公司對珠海宇誠信的持股比例由70%降為47.21%，珠海宇誠信將不再納入公司合併報表範圍。
珠海宇誠信科技有限公司經營範圍：技術開發、技術推廣、技術轉讓、技術諮詢、技術服務、技術培訓；商務諮詢、信息諮詢、投資諮詢；項目投資；生產、銷售通訊設備、電子產品、計算機、軟件及輔助設備。房地產開發經營、房地產投資、自有房地產經營活動、物業管理。(依法須經批准的項目，經相關部門批准後方可開展經營活動)。
公司引入控股股東增資珠海宇誠信，有利於改善珠海宇誠信的資金等壓力，有利於為其創造更好的發展要素，也有利於優化上市公司的資金成本、財務結構和財務表現。公司放棄此次增資優先認繳權主要是基於珠海宇誠信的經營現狀和其未來發展而做出的決策，此舉有利於珠海宇誠信充分利用社會資本，增強市場化競爭力及資本融資能力。
此次控股股東及其他股東對珠海宇誠信的增資交易完成後，公司喪失對珠海宇誠信的控制權。對於公司在首次公開發行股份前出具的關於珠海宇誠信房地產開發業務的相關承諾，具體承諾內容參見公司首次公開發行股份招股説明書“重大事項提示”之“十、發行人子公司珠海宇誠信房地產開發業務相關事項”，公司將繼續按照上述承諾行使對珠海宇誠信相關事項決策的表決權，此次交易不存在違背相關承諾而損害中小股東利益的情形。
此次關聯交易完成後，公司對珠海宇誠信的持股比例由70.00%降為47.21%，珠海宇誠信不再納入公司合併財務報表範圍，對公司獨立性和持續盈利能力不會造成重大影響，公司放棄增資優先認繳權不存在損害公司和中小股東利益的情況。
