綠城中國(03900.HK)引入天津世茂及中交房地產聯合開發北京昌平地塊

格隆匯3月20日丨綠城中國(03900.HK)宣佈,於2020年3月20日,公司全資附屬北京博意與天津世茂、中交房地產及項目公司就北京博意向天津世茂及中交房地產各自出售項目公司股權的部分權益以及開發該項目訂立該協議。該項目包括將位於中國北京市昌平區且地上規劃建築面積約為17.00萬平方米的該土地開發為住宅物業。收購該土地的土地使用權的中標價格為人民幣63.60億元。

為免生疑問,天津世茂及中交房地產根據該協議應付的總額將分別為人民幣27.90億元及人民幣9.85億元。

於公告日期,項目公司的註冊及未繳資本為人民幣5000萬元,且項目公司由北京博意全資擁有,因此為公司全資附屬公司。於該等出售事項完成後,項目公司將由北京博意、天津世茂及中交房地產分別擁有42.5%、42.5%及15%權益,並將不再為公司附屬公司。

待該等出售事項完成後,項目公司將引入兩名新投資者,將有效減低集團於該項目所承受的風險,並使得集團將因此而多出的資金用於其他發展機遇及資金需要。董事會認為,引入上述戰略投資者將使集團的發展及投資組合獲益。

此外,天津世茂及中交房地產均為經驗豐富的房地產開發商。董事會認為,引入天津世茂及中交房地產(中交集團的附屬公司)為該協議項下擬進行交易的項目公司股東,將透過其各自的優勢及於房地產開發策略、市場營銷、管理、人力資源、品牌及其他領域的協同效益,為項目公司帶來裨益,並相互補充,實現互惠共贏。
