絲路視覺(300556.SZ)：瑞雲科技擬通過股權轉讓及增資擴股方式引入新股東
格隆匯3月20日丨絲路視覺(300556.SZ)公佈，為進一步優化股東結構，壯大資本實力，大力發展視覺雲計算平台業務，經各方友好協商，瑞雲科技擬通過股權轉讓及增資擴股的方式引入新股東。
全資子公司聖旗雲網絡分別向君聯慧誠、Forebright及合勤資本轉讓瑞雲科技部分股權，並同意君聯慧誠、Forebright及合勤資本對瑞雲科技進行增資，同意聖旗雲網絡放棄此次交易享有的優先權利。此次股權轉讓和增資交易完成後，聖旗雲網絡持有瑞雲科技股權比例由26.16%降至19.50%。
瑞雲科技股權轉讓：（1)聖旗雲網絡以人民幣162.1725萬元的價格向現有股東君聯慧誠轉讓瑞雲科技0.36%股權；(2)聖旗雲網絡以人民幣1544.5795萬元的價格向新股東Forebright轉讓瑞雲科技3.43%股權；(3)聖旗雲網絡以人民幣385.7480萬元的價格向新股東合勤資本轉讓瑞雲科技0.86%股權。
瑞雲科技增資擴股：(1)現有股東君聯慧誠以人民幣367.3469萬元的價格向瑞雲科技增資，認購瑞雲科技新增註冊資本5.7208萬元；(2)新股東Forebright以人民幣3498.7218萬元的價格向瑞雲科技增資，認購瑞雲科技新增註冊資本54.4864萬元；(3)新股東合勤資本以人民幣873.7813萬元的價格向瑞雲科技增資，認購瑞雲科技新增註冊資本13.6076萬元。
瑞雲科技是一家專注於為視覺行業提供垂直雲計算SaaS服務的公司，主要從事Renderbus雲渲染、Raysync鐳速傳輸、青椒雲工作站等視覺雲計算業務，系絲路視覺旗下全資子公司聖旗雲網絡參股子公司。
交易完成後，瑞雲科技董事會成員由5名增加至7名，其中，聖旗雲網絡、阿里巴巴、君聯慧誠和Forebright分別有權提名1位董事，創始股東有權提名3位董事。瑞雲科技董事經瑞雲科技股東會選舉產生任命後生效，董事長由創始股東提名的3名董事之一擔任，並由董事會選舉產生，董事長兼任公司法定代表人。
