雙環傳動(002472.SZ)擬收購STP公司WTP公司股權 進一步拓展歐洲齒輪市場
格隆匯3月5日丨雙環傳動(002472.SZ)公佈，2019年7月31日，公司與德國VVP Vermögensverwaltung Plettenberg GmbH & Co.KG(“VVPKG”或“賣方”)簽署《收購意向書》，公司擬通過現金支付方式收購VVPKG100%持有的Schmiedetechnik Plettenberg GmbH& Co.KG(“STP公司”)和Werkzeugtechnik Plettenberg GmbH & Co.KG(“WTP公司”)各81%股權。
2020年3月5日，公司通過位於盧森堡的全資孫公司Shuanghuan Technology Europe Company S.à r.l(“雙環歐洲”或“買方”)作為收購主體與VVPKG簽署《股權購買協議》，以現金方式收購VVPKG持有的STP公司和WTP公司各81%股權，股權轉讓款為1757.7萬歐元，並在完成收購後，由買方向STP公司增資1500萬歐元，此次股權轉讓款和增資款共計3257.70萬歐元。
股權轉讓與增資完成後，STP公司總註冊資本增至2783.56萬歐元，公司持有STP公司註冊資本2479.26萬歐元，所持STP公司股權比例增至89.07%。因此，公司最終將間接持有STP公司89.07%和WTP公司81%的股權。
此外，此次收購中規定，在交割日由雙環歐洲代替標的公司償還截至交割日VVPKG對其提供的所有股東借款，最高金額不超過333.90萬歐元(在最高金額限度內，最終金額以交割當日賣方與標的公司發生的所有股東借款淨額的賬面金額為準)，標的公司對該筆金額的債權人將由VVPKG轉為雙環歐洲。
公司長期深耕於機械傳動齒輪的研發與製造以及工業機器人用全系列減速器產品(機器人關節)，形成了涵蓋新能源車、軌道交通、燃料車等多個領域的門類齊全的產品結構，為全球規模最大的齒輪零件專業製造廠商之一。經公司多年用心經營，與國內外眾多優質客户建立起深厚的技術與產品合作關係，形成一批本行業“巨頭”客户羣，如博世、大眾、福特、卡特彼勒、約翰迪爾、採埃孚等。緊隨着汽車產業的技術升級、全球齒輪製造加速外包的發展趨勢，公司通過此次收購將進一步拓展歐洲市場，加快國際化發展的進程，積極做全球化佈局和長期戰略規劃，與標的公司實現優勢互補、客户協同效應、產品面拓展，且有助於豐富公司產品線，提高毛利水平，提高公司精密成型能力、提高公司自動化製造水平、雙方實現客户資源協同。
此次收購事項交割完成後，標的公司及其有關附屬子公司將納入公司合併報表範圍。此次對外投資，有利於提升公司模具設計開發能力、自動化製造水平，有利於公司進一步拓展歐洲齒輪市場，為公司實現國際化邁出堅實的一步。此次投資資金為公司自有資金和銀行貸款，不存在損害公司及中小股東利益的情形，長期看有助於提升公司的營收能力，並為股東創造更大價值。
