西藏天路(600326.SH)：重交再生向公司定增的1475萬股將於3月3日掛牌轉讓
格隆匯2月26日丨西藏天路(600326.SH)公佈，公司於2018年12月6日披露了《西藏天路股份有限公司關於通過協議轉讓及參與定向增發收購重慶重交再生資源開發股份有限公司51%股份的公告》，擬以現金1.40億元收購重慶重交再生資源開發股份有限公司(以下簡稱“重交再生”)40%股權並以5.33元/股的價格認購重交再生定向增發的1475萬股股票。本次交易完成後，西藏天路將持有重交再生51%的股權，重交再生將成為西藏天路的控股子公司。
為推進本次交易進程，公司於2019年9月23日與標的公司股東鹹通乘風、陳先勇、嘉興臻勝、君潤科勝簽署了《關於重慶重交再生資源開發股份有限公司之股份轉讓補充協議》，對交易價格、股份轉讓款支付條件等協議條款進行了進一步明確和相應修訂。此次證券登記手續完成後，公司成為重交再生第二大股東，持有重交再生40%股權。
公司與鹹通乘風於2019年10月31日簽署了《表決權委託協議》，鹹通乘風不可撤銷地在該協議有效期內排他授權公司代表鹹通乘風行使其持有的重交再生11%的股份的表決權。本次表決權委託後，公司共持有重交再生51%表決權，成為重交再生控股股東。
為提高本次交易的實施效率，公司與重交再生於2019年11月15日簽署了《關於重慶重交再生資源開發股份有限公司定向增發股票之股份認購補充協議》，對股份認購的方式及支付方式進行了補充約定。公司於2019年12月24日與鹹通乘風、陳先勇、嘉興臻勝、君潤科勝簽署了《關於重慶重交再生資源開發股份有限公司之股份轉讓補充協議(二)》，對業績獎勵及收購後董事會安排進行了補充約定。
重交再生已取得全國中小企業股份轉讓系統有限責任公司出具的《關於重慶重交再生資源開發股份有限公司股票發行股份登記的函》，重交再生正在辦理新增股份登記，本次重交再生向公司定向發行新增的1475.00萬股股份將於2020年3月3日在全國中小企業股份轉讓系統掛牌並公開轉讓。
