九安醫療(002432.SZ)稱：倡議員工增持股票不存在配合股東減持的情形
格隆匯2月24日丨九安醫療(002432.SZ)公佈，公司於2020年2月18日披露了《關於董事長向公司員工發出增持公司股票倡議書的公告》，公告後受到了廣大投資者的關注，也收到了很多投資者的問題，為便於投資者進一步理解，現就以下幾點補充説明：
一、本次倡議的初衷
此次倡議的初衷是以疫情為觸發點，我們的兩大核心戰略——糖尿病診療“O+O”新模式和在小米等新零售平台上推出更多極致性價比爆款產品將加速推進。劉毅先生作為實際控制人、董事長對公司未來長期發展堅定看好，以實際行動表明對公司的支持。
任何投資都會有風險，每位員工都要有獨立的判斷力和風險意識，要基於對公司使命、願景和經營業務的深度理解做出投資判斷，為自己的每一個決定承擔利弊後果，因此，劉毅做出了與員工一起風險共擔，補償50%的激勵性承諾。
二、對倡議人補償能力的説明
公司進一步核實了倡議人劉毅的個人資產及信用狀況，認為其具備承擔倡議中所涉虧損補償的能力。其部分資產列明如下：1、持股情況：劉毅通過三和公司持有11871.4萬股公司股份，市值約8億元(按2020年2月24日收盤價)；2、收入情況：劉毅近三年平均年薪55萬元人民幣左右，收入穩定；3、投資情況：持有北京尚勢投資中心(有限合夥)、嘉興濟峯一號股權投資合夥企業(有限合夥)、天津北洋海棠創業投資管理有限公司、上海火山石一期股權投資合夥企業(有限合夥)等創投基金份額，上述投資的資金來源均為劉毅的自有資金。
三、補償保障措施的説明
此次增持倡議期間，由於處於業績快報敏感期，董監高證代及其配偶不得交易公司股票，普通員工購買力有限，公司員工整體增持金額可控，控股股東劉毅履約能力較強，且其承擔高額補償義務的風險較小。綜上，劉毅個人名下資產可充分保障此次增持倡議可能發生的虧損補償承諾得以兑現。因此，倡議人暫無設立保證金賬户或第三方監管賬户來確保相關承諾得到實施的計劃。公司提醒投資者關注相關承諾可能無法履行的風險。
四、其他
1、公司已核查控股股東、董監高及相關人員的股票交易情況，此次倡議員工增持公司股票不存在配合股東減持的情形。
2、公司近期將披露此次倡議的進展情況，包括增持員工數、增持金額等情況，並及時回覆交易所關注函，對倡議員工增持事項作了進一步闡釋，公司會繼續關注上述倡議承諾事項的進展情況，並將根據相關法律法規及時履行信息披露義務，敬請關注。
