華瑞股份(300626.SZ)與姜山鎮拆遷辦解除舊廠房徵收協議

格隆匯2月24日丨華瑞股份(300626.SZ)公佈,公司於2020年2月23日與寧波市鄞工集團有限責任公司(“鄞工集團”)簽署《國有建設用地使用權轉讓合同》,將公司於2018年11月新取得的位於鄞州區姜山鎮的新土地轉讓予鄞工集團,根據《寧波市鄞工集團有限責任公司擬受讓鄞州工業園區26號B工業地塊單項資產評估項目資產評估報告》中同華甬評報字(2020)第025號,轉讓總價款為人民幣3971萬元。同時為了保障公司舊廠房的生產經營與寧波市鄞州區姜山鎮拆遷辦公室(“姜山鎮拆遷辦”)簽署《貨幣收購補償終止協議》,公司與姜山鎮拆遷辦解除舊廠房徵收協議,將以新土地轉讓所得價款用於向姜山鎮拆遷辦退還拆遷補償款,補償款及利息共計3470.7698萬元。

此次交易標的為位於東至明光路,南至景江路,北至橫二河,西至樹梀港,編號為浙(2019)寧波市鄞州不動產權第0079424號。土地用途為工業。轉讓土地使用面積為33343平方米(具體以土地使用權證書的宗地圖為準,下稱“標的土地”)。公司已向國土資源行政主管部門繳清了全部土地出讓金。

公司原計劃在新土地上投資新建廠房,用於安置舊廠房拆遷的產能,同時進行新業務方向的拓展。2019年宏觀經濟形勢下行壓力較大,公司所處下游市場景氣度下滑,公司業績也受到較大影響,與此同時,鄞州區政府對公司新土地的開工建設時間、容積率、投資強度、產業方向等均有嚴格的限制,截止目前為止,公司並未對新土地實施正式開工建設。在當前的市場環境下,如果嚴格按照這些限制進行開工建設,將對公司的資金使用以及投資回報產生較大的不利影響。因此經過與鄞州區姜山鎮政府多次協商,雙方達成一致意見,由鄞州區下屬國有企業鄞工集團按照公司的取得成本加上持有期間發生的相應費用(設計費、諮詢費、税費)等支出對應的價格合計約3,971萬元受讓公司新土地,新土地轉讓後公司不再承擔新增建設投入等相關義務。

同時為了保障公司舊廠房的生產經營,公司與姜山鎮拆遷辦簽署拆遷解除協議,公司與姜山鎮拆遷辦解除相關拆遷協議並由鄞工集團向其支付拆遷款退款本金及利息共計3470.7698萬元。

此次交易新土地的轉讓價格為公司的取得成本加上發生的相關費用,交易不產生明顯的投資收益或虧損。公司收到新土地轉讓價款後將用於退還寧波市鄞州區姜山鎮拆遷辦公室已支付的舊廠房拆遷補償費用,交易對公司現金無重大影響。公司舊廠房拆遷尚未啟動,此次停止舊廠房拆遷對生產經營無重大影響。新土地的轉讓將使得公司免除新土地投資建設義務,有利於公司降低投資資金壓力,符合公司整體發展戰略的需要,不會對公司生產經營產生影響。
