好想你(002582.SZ)擬向百事飲料出售經剝離後郝姆斯100%股權 構成重大資產重組
格隆匯2月23日丨好想你(002582.SZ)公佈，公司擬通過現金出售的方式，向百事飲料出售郝姆斯100%股權，根據《股權轉讓協議》，此次交易交割前郝姆斯需將新疆百草味全部股權轉讓至公司，將郝姆斯所擁有的南通勛銘中的合夥權益轉讓至公司。此次交易完成後，公司將不再持有郝姆斯股權。
雙方協商確定的企業價值為7.05億美元，購買價款應等於基本金額加上調整金額。公司已聘請具有從事證券期貨業務資格的估值機構對交易標的進行評估，標的公司的企業價值的評估值為45.2億元。
參照《上市公司重大資產重組管理辦法》第十二條的規定，此次交易擬出售的標的公司的營業收入指標占上市公司最近一個會計年度相應指標的比例達到50%以上。因此，此次交易構成重大資產重組。
公司作為中國紅棗行業的龍頭企業，在品牌、產品、渠道、技術、資源等方面都有着較強的競爭優勢。公司近年以來積極拓展新品類、新渠道，目前已取得了一定成果，未來發展方向明確。通過此次交易公司將獲得豐厚的財務回報以及支持未來發展的充裕資金，獲得的現金對價可用於支持主業發展，有利於改善主業的持續經營能力，改善財務情況，強化股東回報。
交易完成後，公司將聚焦原有的紅棗相關業務，充分發揮紅棗行業龍頭優勢，以“高端紅棗好想你”為品牌定位，整合公司品牌、產品、渠道、技術、供應鏈、資本、管理等資源優勢，藉助紅棗期貨套期保值的行業機遇，進一步提高公司在紅棗市場的佔有率，夯實好想你在全球棗產業龍頭地位；同時，公司將把握時代契機，緊跟國家政策導向，充分利用公司在“一二三產融合發展”的寶貴經驗，通過“星火計劃項目”升級公司商業模式，依託好想你的品牌、產品、渠道、技術、資源等優勢，聯合各地優質的特色農產品龍頭企業及當地政府，圍繞延伸產業鏈、提升價值鏈、打造供應鏈做文章，實現“鄉村振興、多方共贏”。
此次交易完成後，公司營業收入大幅下降，2019年上市公司營業收入相較於交易前減少了49.06億元，降幅82.31%；但歸屬於母公司所有者的淨利潤受此次交易產生的投資收益的影響，有較大幅度的提升，較交易前增長1355.4%；在剔除投資收益對淨利潤影響的情況下，由於公司獲得了充裕現金，可用於償還借款及投資，在相對保守的測算假設下(投資回報按目前上市公司3個月內理財產品回報率(3.86%)測算)，公司2019年度淨利潤為1.41億元，相較此次重組前下滑26.68%，此次交易後扣除非經常性損益後歸屬於母公司所有者的淨利潤較此次交易前下滑43.77%，但公司毛利率較交易前提升2.80%，主要原因系公司(除郝姆斯外)產品毛利率高於標的公司毛利率所致。
