天保能源(01671.HK)擬收購天津津能臨港熱電51%股權
格隆匯2月17日丨天保能源(01671.HK)發佈公告，2020年2月17日，公司作為買方與天津津能濱海供熱集團有限公司訂立產權交易合同，據此，公司同意收購天津津能臨港熱電有限公司(“目標公司”)51%股權，對價為公司就收購事項應向賣方支付的現金對價人民幣1.0088億元(包括保證金)以及提供為人民幣3825萬元的擔保，共計人民幣1.3913億元。
完成前，臨港公用事業和賣方分別持有目標公司49%和51%的股權。完成後，公司將持有目標公司51%的股權，而目標公司亦因此將成為公司的一家非全資附屬公司。於該公告日期，公司已支付與收購事項有關的保證金人民幣3000萬元，且其由天津產權交易中心代為公司保管。
為滿足目標公司熱源項目蒸汽鍋爐及附屬設施及其他建設工程的建設資金需求，目標公司於2012年11月向國家開發銀行貸款人民幣2億元。於該公告日期，尚未償還的貸款金額為人民幣7500萬元，有關金額由目標公司一位前股東和臨港公用事業擔保。作為產權交易合同對價的一部分，公司須就人民幣3825萬元(即於該公告日期尚未償還貸款金額的51%)為目標公司提供連帶責任擔保。
目標公司於2009年5月8日成立，收購完成前，臨港公用事業和賣方分別擁有其49%和51%的權益。目標公司主要在天津市從事蒸汽的生產及供應。目標公司於2011年11月8日通過直接購買方式從天津市濱海新區規劃和國土資源管理局收購場所並自行開發建設。該場所位置位於天津市濱海新區臨港經濟區海河中道418號，土地總面積約86,005平方米，總建築面積約24,608平方米，土地購買價格人民幣6665.36萬元，目前由目標公司持有。
場所主要由目標公司的生產設施組成。該等生產設施的建築面積約為24,608平方米，包含所有必需的設備(如蒸汽鍋爐及脱硫設備)，以供目標公司經營業務及生產及供應蒸汽。於該公告日期，部分燃煤鍋爐在進行升級改造，且該升級改造項目為在建項目，預計能按時完工。
公告表示，公司是一家主要在天津港保税區(海港)提供電力和供熱能源服務及維護服務的能源運營商，而目標公司主要在其服務區域生產及供應蒸汽。因為公司將和目標公司提供的服務類似，所以收購事項會在兩家公司之間產生協同效應，並有助於經擴大集團達成規模經濟。因為目標公司擁有良好的業務基礎且發展潛力巨大，故公司或會增加其收入來源，通過收購事項來提高其利潤，並逐步提高其於天津市各地區能源服務行業的地位。
