數源科技：擬收購東軟股份94.0479%股份及誠園置業50%股權 新增科技園區建設開發與運營管理業務
格隆匯2月9日丨數源科技(000909.SZ)公佈，公司擬向杭州信科、久融新能源、蘇州漢潤三名股東發行股份及支付現金購買其持有的東軟股份94.0479%股份，擬向數源軟件園發行股份及支付現金購買其持有的誠園置業50%股權。此次交易對價採取發行股份及支付現金相結合的方式，其中發行股份支付比例與現金支付比例，將由交易各方在正式交易協議中予以協商確定。
東軟股份，杭州東部軟件園股份有限公司，系由杭州東部軟件園有限公司(“東軟有限”)整體變更設立；誠園置業為杭州誠園置業有限公司。
標的公司東軟股份100%股份預估值約為6.37億元，誠園置業100%股權預估值約4億元，此次交易評估基準日為2019年12月31日。標的資產的交易價格預計不超過8億元。截至預案簽署日，此次交易標的資產的審計、評估工作尚未完成。標的資產的最終交易價格將以具有證券、期貨相關業務資格的評估機構出具並經有權國資監管機構備案的評估報告為基礎，經交易各方協商確定並另行簽訂正式交易協議。
同時，公司採用詢價方式向不超過10名符合條件的特定投資者非公開發行股份募集配套資金，募集配套資金總額不超過擬發行股份購買資產交易價格的100%，募集配套資金髮行股票數量不超過此次發行股份購買資產前上市公司總股本的20%。募集配套資金扣除交易税費及中介機構費用後的淨額用於支付交易現金對價、償還債務、補充流動資金等用途。配套融資的生效和實施以此次發行股份及支付現金購買資產的生效和實施為條件，但募集配套資金成功與否並不影響此次發行股份及支付現金購買資產的實施。
此次交易完成後，東軟股份和誠園置業成為公司控股子公司，西湖電子集團仍為上市公司控股股東，杭州市人民政府仍為實際控制人。
上市公司主要從事電子設備生產銷售、系統集成服務、房地產開發、商品貿易等多元化業務，涉及電子設備製造、信息系統集成、房地產、商品批發貿易等多個行業。主要產品及服務包括：電子設備、系統集成服務、保障性住房及商品房開發、鋼材大宗商品等。
東軟股份主要從事科技園區建設開發與運營管理業務；誠園置業主要從事房地產開發業務，目前正在開發杭州上城區近江單元地塊商服用地。通過此次交易，上市公司將新增科技園區建設開發與運營管理業務。交易完成後，上市公司在資產規模、收入規模等各方面的實力均顯著增強，整體價值得到有效提升，有助於增強上市公司的盈利能力和核心競爭力。
