鎮海股份(603637.SH)：簽署意向協議 舜通集團擬受讓1999.32萬股 實控人擬變更
格隆匯1月23日丨鎮海股份(603637.SH)公佈，2020年1月21日(星期二)公司股票交易出現較大波動，經公司自查並向相關各方核實，公司自然人股東趙立渭、範其海、範曉梅、翁巍等正在籌劃股份轉讓事項。鑑於該事項存在重大不確定性，經公司申請，公司股票停牌兩個交易日。停牌期間，為了穩定投資者預期，公司積極督促相關股東儘快明確上述重大事項。截至本公告日，相關股東已簽署《股份轉讓意向協議》並通知公司。本次簽署的《股份轉讓意向協議》，屬於簽署雙方合作意願和基本原則的意向性約定，交易方案細節尚未最終確定，需簽署雙方進一步論證和溝通協商，存在後續正式《股份轉讓協議》不能簽署及交易無法達成的風險。相關股東將於2020年2月10日限售股解禁後簽署正式《股份轉讓協議》。
本次協議轉讓股份中，趙立渭、範其海、範曉梅、翁巍等97名自然人擬將其合法持有的1999.32萬股上市公司股份(占上市公司股本總額的11.48%)通過協議轉讓方式轉讓給舜通集團。公司自然人股東趙立渭、範其海、範曉梅、翁巍四人於2018年9月19日簽署《一致行動協議》，該協議於2020年2月7日到期。若本次股份轉讓最終雙方簽署正式《股份轉讓協議》，舜通集團、舜建集團、趙立渭、範其海、範曉梅、翁巍將簽署《一致行動協議》並結為一致行動人，舜通集團及其一致行動人將合計持有4686.78萬股股份，佔公司總股本的26.92%。公司將由無實際控制人變更為由余姚市國有資產管理辦公室實際控制的上市公司。
後續，趙立渭、範其海、範曉梅、翁巍等40名自然人股東擬於2021年將其合法持有的877.81萬股上市公司股份(占上市公司股本總額的5.04%)通過協議轉讓方式轉讓給寧波舜通集團有限公司。舜通集團及其一致行動人將合計持有5077.72萬股股份，佔公司總股本的29.16%。公司實際控制人仍為餘姚市國有資產管理辦公室。
本次股份轉讓的每股價格=每股標的股份的轉讓價格=35.5億元÷上市公司總股份數(174,128,001股)，約為20.3873元/股，符合《上海證券交易所上市公司股份協議轉讓業務辦理指引》對協議轉讓價格的要求，即股份轉讓價格不低於轉讓協議簽署日(當日為非交易日的順延至次一交易日)公司股份大宗交易價格範圍的下限。
舜通集團與寧波舜建集團有限公司(以下簡稱“舜建集團”)同為餘姚市舜財投資控股有限公司全資子公司，餘姚市舜財投資控股有限公司為餘姚市國有資產管理辦公室所屬全資子公司。舜通集團與舜建集團為一致行動關係。
