中文在線(300364.SZ)解除與鋼鋼網的資產處置協議
格隆匯1月23日丨中文在線(300364.SZ)公佈，公司於2019年12月11日召開第三屆董事會第三十三次會議及第三屆監事會第二十八次會議，審議通過了《關於擬出售上海晨之科信息技術有限公司100%股權的議案》，公司擬與鋼鋼網電子商務(上海)股份有限公司(“鋼鋼網”)簽署《資產處置協議》，向鋼鋼網轉讓公司持有的上海晨之科信息技術有限公司(“晨之科”)100%的股權，交易對價為人民幣3.24億元。
2019年12月27日，公司召開2019年第四次臨時股東大會，會議審議通過了《關於擬出售上海晨之科信息技術有限公司100%股權的議案》。
2019年12月30日，公司與鋼鋼網、朱明簽訂《資產處置協議》，《資產處置協議》已生效並對各方發生法律約束力。同日，公司分別與朱明先生、王強簽署了《擔保協議》，朱明先生與王強先生同意為鋼鋼網在《資產處置協議》項下之債務承擔連帶保證責任。
根據《資產處置協議》約定，鋼鋼網應在2019年12月31日前向公司支付第一筆股權收購對價，共計人民幣1.65億元。2019年12月31日，鋼鋼網未按照《資產處置協議》約定履行付款義務，並向公司出具《説明函》稱其無法按期付款，將於2020年1月31日前履行第一筆股權收購對價的付款義務。
2020年1月3日，公司委託廣東華商律師事務所向鋼鋼網發出《律師函》，催告鋼鋼網在收到律師函後2個工作日內履行相應付款義務。然而，鋼鋼網仍遲遲未履行付款義務，且於2020年1月21日致函公司，再次要求將第一筆股權收購對價的付款日起延後至2020年3月30日。
截至目前，鋼鋼網仍未履行付款義務。同時，經公司查詢發現，鋼鋼網已涉及多宗訴訟案件，其銀行賬户及所持部分子公司股權已被法院凍結。
鑑於(1)鋼鋼網逾期未履行《資產處置協議》約定的付款義務，且經公司催告後仍未及時履行付款義務，已嚴重違反《資產處置協議》約定；(2)鋼鋼網牽涉多宗訴訟案件，且重要資產已被法院凍結，公司有理由認為鋼鋼網已喪失對《資產處置協議》的履約能力，公司有權依據《合同法》第九十四條、第九十六條第一款規定，向鋼鋼網、朱明發出解除合同通知以解除《資產處置協議》並追究鋼鋼網的違約責任。
公司與鋼鋼網解除《資產處置協議》後，晨之科仍為公司全資子公司，公司應在財務報表中合併處理晨之科2019年度全部損益。晨之科經審計的2019年1-10月份扣除非經常性損益後歸屬於母公司所有者的淨利潤為-8,386.60萬元，晨之科的盈虧情況將繼續對公司2019年的財務審計結果造成影響。
為進一步降低本次解除《資產處置協議》對公司的影響，公司將採取法律允許的措施追究鋼鋼網的違約責任以彌補公司損失、保障公司及股東利益。
