東睦股份(600114.SH)連續2個漲停 收購上海富馳75%股份存交割受限風險、商譽減值等風險
格隆匯1月16日丨東睦股份(600114.SH)公佈，公司股票於2020年1月15日、1月16日連續兩個交易日內收盤價格漲幅偏離值累計超過20%，根據《上海證券交易所交易規則》的有關規定，屬於股票交易異常波動的情形。
截至2020年1月16日收盤，根據東方財富數據顯示，公司股票換手率為0.58%；公司動態市盈率為70.53，根據中國證監會發布的行業分類結果，公司所處金屬製品業的平均動態市盈率為36.92，公司動態市盈率遠高於行業平均動態市盈率。敬請廣大投資者注意二級市場交易風險，理性決策，審慎投資。
經公司自查，並書面發函詢問公司單一第一大股東睦特殊金屬工業株式會社，截至公告披露日，睦特殊金屬工業株式會社確認不存在應披露而未披露的重大信息。
公司此次收購上海富馳75%股份的資金來源為公司自籌資金，包括向銀行申請併購貸款等。若此次交易順利推動，預計公司的資產負債率將由31.62%(截至2019年9月30日)提高至40%左右。
截至2019年9月30日，公司未經審計的主要財務狀況為：營業收入13.52億元，同比下降9.83%，歸屬於上市公司股東的淨利潤8233.73萬元，同比下降66.93%。
2020年1月15日，公司披露了《關於收購上海富馳高科技股份有限公司股份的公告》，公司與鍾於公司、鍾偉、於立剛、創精投資簽訂《股份轉讓協議》，公司擬以現金人民幣10.39億元收購上述出讓方合計已持有及待交割的上海富馳4736.259萬股股份，占上海富馳股份總數的75%，此次交易未構成關聯交易，且根據公司和上海富馳經審計的2018年度相關財務數據，此次交易不構成《上市公司重大資產重組管理辦法》規定的重大資產重組的情形；此次交易部分股份存在交割受限的風險、商譽減值風險、交易批准風險，以及可能存在整合、協同發展不達預期的風險，敬請廣大投資者注意投資風險。
公司收購上海富馳事項尚需提交公司股東大會審議，並經出席股東大會的股東所持有效表決權的三分之二以上通過，此次交易能否獲得公司股東大會的批准存在不確定性，提請廣大投資者注意投資風險
