長春經開(600215.SH)擬收購萬豐科技100%股份切入智能製造行業 預計構成重組上市
格隆匯1月15日丨長春經開(600215.SH)公佈，公司擬發行股份及支付現金購買萬豐錦源、吳錦華、越商基金、先進製造基金、華聚投資、智聯投資、吳軍、倪偉勇與江玉華合計持有的萬豐科技100.00%股份；此次交易後，萬豐科技將成為公司的全資子公司。
公司此次交易發生在控制權變更之日起36個月內，預計標的公司最近一個會計年度的營業收入佔上市公司控制權變更前一會計年度經審計的合併營業收入比例超過100%，達到《重組管理辦法》第十三條的相關規定，此次交易預計構成重組上市。此次交易是否構成重組上市將根據萬豐科技2019年經審計的財務數據及最終評估作價情況確定，並在重組報告書中予以披露。
截至預案出具日，與標的資產有關的審計、評估工作尚未完成。標的資產經審計的財務數據、評估或估值結果將在重組報告書中予以披露。此次交易的業績承諾方，將由公司與交易對方協商一致後在重組報告書中予以披露。
標的資產的最終交易價格將參照具有證券期貨業務資格的評估機構出具的、經相關主管部門核准或備案(如需)的資產評估報告，經交易各方協商確定。鑑於目前審計、評估工作尚未最終完成，在資產評估結果確定後，交易各方將根據評估結果對交易價格進行協商確認，並在重組報告書公告前另行簽署補充協議，提交董事會審議通過後提交股東大會審議。截至預案出具日，標的資產交易價格尚未最終確定。
此次交易前，公司主要從事房地產開發業務，輔以一級土地受託開發業務、物業管理及租賃業務。標的公司定位於工業機器人系統集成和智能裝備製造行業，主要從事自動化焊接生產線以及熱加工自動化解決方案的設計、研發、生產和銷售。
此次交易完成後，公司將迅速切入智能製造行業，全面深入佈局工業機器人產業和智能製造領域，公司的盈利能力及發展空間將得到有效提升，此次重組有助於提高上市公司的資產質量和持續經營能力，保護上市公司全體股東，尤其是中小股東的利益。
根據相關規定，經公司向上海證券交易所申請，公司股票將於2020年1月16日起復牌。
