東莞控股(000828.SZ):原告漢邦公司因與福地公司合同糾紛一案 申請追加公司作為共同被告

格隆匯1月14日丨東莞控股(000828.SZ)公佈,公司於近日收到廣東省東莞市中級人民法院送達的《傳票》《應訴通知書》等文件,原告東莞市漢邦帝庭苑房地產開發有限公司(下稱,漢邦公司)因與被告廣東福地投資有限公司(下稱,福地公司)合同糾紛一案,申請追加公司作為該案的共同被告。目前,東莞市中級人民法院已受理漢邦公司的申請,本案尚處於應訴、舉證階段。

次訴訟的基本情況:20111018日,原告以4.523億元競得福地公司公開掛牌轉讓的位於東莞市南城區周溪工業區科技園路段的國有工業用地中的部分土地使用權及地上建築物(宗地土地面積約為272796.01平方米,地上建築物面積約為177945.37平方米),同日雙方簽署了《產權轉讓合同》。

2018710日,原告漢邦公司因前述《產權轉讓合同》的履行糾紛,對被告福地公司提起本案訴訟。201994日,東莞市中級人民法院開庭審理,本案一審法庭辯論終結。20191213日,原告漢邦公司提交《追加被告申請書》和《變更訴訟請求申請書》,申請追加公司作為共同被告,變更訴訟請求如下:

(1)判令福地公司將案涉標的土地使用權,協助變更登記到原漢邦公司名下。

(2)判令福地公司、公司將案涉標的已辦有房地產權證的地上建築物,協助變更登記到原告漢邦公司名下。

(3)判令福地公司將案涉標的土地交付給原告漢邦公司。

(4)判令福地公司、公司將案涉標的地上建築物交付給原告漢邦公司。

(5)判令福地公司支付建築物佔有使用費711.78萬元(暫計2018630日)。

(6)判令被告承擔本案全部訴訟費用。

經核實,此次涉案標的已辦有房地產權證的地上建築物,其中面積合計約7.68平方米地上建築物,系公司於2003年與東莞市新遠高速公路發展有限公司(現已更名為:東莞市路橋投資建設有限公司)實施資產置換的置出資產,公司已不再控制、佔有、享有該資產項下的權益,其已不屬於公司資產。

本案主要屬於原告漢邦公司與被告福地公司之間的合同糾紛,不會對公司經營成果產生重大不利影響。目前,該案件尚處於法院受理,公司舉證、應訴階段,公司將根據後續進展情況及時履行信息披露義務。
