三維通信(002115.SZ)旗下紫光網絡計劃與紫光通信實施併購重組
格隆匯1月9日丨三維通信(002115.SZ)公佈，公司控股子公司杭州紫光網絡技術有限公司(“紫光網絡”)計劃與杭州紫光通信技術股份有限公司(“紫光通信”)實施併購重組，三維通信擬將持有的56%股權的紫光網絡出售給紫光通信，取得紫光通信14.91%股份，紫光網絡100%的股權作價4421.25萬元。
此次交易完成後，三維通信不再持有紫光網絡任何股份，紫光網絡成為紫光通信全資子公司，三維通信將持有紫光通信660.24萬股，佔紫光通信股份比例14.91%。
此次交易完成後，紫光通信主營業務分為兩塊，其一，紫光通信原有的業務：為客户提供通信網絡規劃設計及維護的技術解決方案；其二，紫光網絡的業務：無源通信器件和無源互調測試儀產品的研發設計、組裝、生產和銷售。紫光通信的資產規模、業務規模、盈利能力以及抵禦風險的能力將顯著增強。此次交易有利於增強紫光通信的持續經營能力，且不存在可能導致此次交易後主要資產為現金或者無具體經營業務的情形。
紫光網絡主營業務為無源通信器件和無源互調測試儀產品的研發設計、組裝、生產和銷售。近年來受通信行業大環境在底部的影響，紫光網絡營業收入及淨利潤增長乏力，淨利潤處於微利狀態，為了激發核心管理層及少數股東的創業激情和經營動力，在充分認可紫光通信核心團隊及業務能力的基礎上，公司計劃將紫光網絡與紫光通信實施重組，交易完成後有利於雙方在軟硬件上實現優勢互補，為股東及公司創造出更大的經濟價值。
此次交易完成後，紫光網絡將成為紫光通信全資子公司。紫光通信現有業務主要是向客户提供通信網絡規劃設計及維護的技術解決方案，未來紫光通信業務範圍延伸至通信產品的研發、生產及銷售，通過將業務上相關資源的整合，與紫光網絡在通信產品領域實現優勢互補和業務協同，有助於提升綜合競爭力。三維通信作為紫光通信的第一大股東，也致力於將紫光通信打造為行業領域“硬件+軟件”雙驅動的行業龍頭。
紫光通信及紫光網絡的核心管理層都是具有在通信領域從業三十年以上經驗的行業專家，在公司治理、財務管理、風險控制、產品研發、生產、銷售等領域有着寶貴的經驗及沉澱，在人才架構上可實現互補。通過此次交易，依託上市公司作為股東的背景下，核心團隊獲得更多的企業經營自主權，更能激發出團隊的激情與能量，更易實現公司管理層和股東雙贏的結果。
