農尚環境(300536.SZ)擬斥1000萬元在湖北武漢設立全資子公司
格隆匯1月7日丨農尚環境(300536.SZ)公佈，為鞏固公司的行業地位，提升公司核心競爭力，公司擬在湖北省武漢市設立全資子公司，從事與主業相關項目投資及運營等事項，並授權公司董事會祕書辦公室負責辦理設立相關事宜。
名稱：武漢農尚環境園林工程有限公司(尚未工商預核准)；註冊資本：1000萬元；經營範圍：園林建築、園林景觀綠化、市政公用工程設計與施工；環境工程設計；建築工程、水利水電工程、城市及道路照明工程、環保工程、室內外裝飾裝修工程、古建築工程施工；水電、暖通、電器製造及安裝；計算機軟件的開發與銷售；苗木、花卉、建築材料、工業設備銷售；水土保持；生態修復；園林養護；環境科學技術研究服務；水處理的技術研究、開發；水資源管理的技術研究、開發；生態修復的技術研究、開發；土壤修復的技術研究、開發；廢氣處理的技術研究、開發；河道整治的技術研究、開發；垃圾處理的技術研究、開發；土木建築工程研究服務；河涌治理淨化工程建築；水源及供水設施工程建築；河湖治理及防洪設施工程建築；城鄉規劃編制；城市規劃設計；水污染治理；路牌、路標、廣告牌安裝施工；城市水域垃圾清理；網絡技術的研究、開發；投資和運營PPP項目；對外股權和債權投資；互聯網區塊鏈技術研究開發服務；工程諮詢；技術進出口、貨物進出口、代理進出口業務(不含國家禁止或限制進出口的貨物或技術)；旅遊資源的開發及利用。(依法須經審批的項目，經相關部門審批後方可開展經營活動)。
此次對外投資主要是為了多層次參與優質項目開拓，完善公司一體化服務產業鏈佈局，提高競爭優勢，實現企業長遠穩步發展，培育公司新的利潤增長點，不存在損害股東利益的情況。由於子公司為新設立公司，可能存在架構管理、資源配置、財務管理等經營風險，子公司將通過進一步完善法人治理結構、建立健全內部控制制度等方式提升自身規範化管理水平，降低管理風險。
此次對外投資資金1000萬元全部來源於公司自有資金或公司名下可用於出資的資產，佔公司2018年度經審計淨資產的比例為1.75%，佔公司2018年度經審計總資產的比例為0.82%，對公司正常生產經營不構成重大影響。
