格隆匯1月6日丨中原傳媒(000719.SZ)公佈,公司擬以現金370.59萬元收購關聯方河南大象置業有限公司(“大象置業”)持有的鄭州文華置業發展有限公司(“文華置業”)100%國有股權。

鑑於文華置業已於2019年4月通過“招拍掛”形式取得位於鄭州國際文化創意產業園的土地一宗,面積約為46110㎡,約69.165畝。公司為獲得土地資源,建設中原數字出版產業園,以解決公司及所屬出版單位無自有辦公場所的現狀,減少與控股股東的關聯交易。公司擬以現金370.59萬元的價格收購大象置業所持文華置業100%國有股權。此次收購完成後,文華置業成為公司的全資子公司,納入公司合併財務報表範圍。

鄭州文華置業發展有限公司經營範圍:房地產開發與經營;建築工程機械與設備經營租賃;建築材料、裝飾材料的銷售;企業管理諮詢;房地產信息諮詢;房地產經營租賃;房地產中介服務。

收購文華置業股權的目的是為了獲取土地,建設中原數字出版產業園。該項目建設開發的房產均為公司自用,不進行對外銷售,公司亦無意涉足房地產行業。項目建成後,將為公司及所屬10家出版社持續發展奠定堅實物質基礎,同時為轉型升級、融合發展及產業拓展,提供充足的物理空間。建設該項目有利於公司更充分利用互聯網技術、數字技術,構建現代內容編輯加工體系,加速生成以實現生產數字化、管理過程數字化、產品形態數字化和傳播渠道網絡化為核心的新型出版生態。公司將以產業園區為載體,通過內合外聯,加快關聯產業引進導入,加快形成數字出版產業的結構佈局,發揮產業集羣效應,有效改變河南數字出版產業發展水平較低的問題。

有利於徹底解決辦公場所和關聯交易問題。公司及所屬出版社等單位目前沒有辦公場所,全部租用控股股東中原出版傳媒集團辦公樓,租用面積近6萬平米,按市場房租租金計算,每年租金和物業費用超過6,000萬元,與中原出版傳媒集團形成長期的關聯交易,成為監管機構與投資者關注的問題。公司收購該股權後,通過中原數字出版產業園的開發建設,可全部解決公司本部及下屬出版企業的辦公場所,為日常工作提供良好的辦公環境,有利於集約經營和一體化運營,同時,可徹底解決公司與中原出版傳媒集團因房租形成的關聯交易問題。
