積成電子(002339.SZ)與參股公司上海積成能源簽署合作協議
格隆匯1月2日丨積成電子(002339.SZ)公佈，為合理配置各方優勢資源，公司於2020年1月2日與參股公司上海積成能源科技有限公司(“上海積成能源”)簽署了《合作協議》。雙方將充分利用各自的資源和優勢，本着互惠互利、共同發展的目標，圍繞智慧城市建設中政府和公共事業單位的需求，開展智慧能源、智慧市場監管系統以及其他公共事業領域的智能化、信息化推廣應用，雙方通過資源共享、優勢互補與業務創新，共同為客户提供更優質、更全面的智慧城市綜合服務。
因《合作協議》及其項下具體合同均為與日常經營相關的交易，構成日常關聯交易。根據該協議內容，2020年雙方交易金額預計不超過2500萬元。公司董事會授權公司管理層在上述額度範圍內，辦理簽訂具體項目合同等事宜。
公司與上海積成能源簽署合作協議，並基於該合作協議在智慧能源、智慧市場監管系統以及其他公共事業智能化、信息化領域展開合作，上海積成能源負責提供智慧能源雲相關功能模塊、公共事業整體解決方案、智慧市場監管系統中的風險預警系統、分析評價系統、質量追溯系統等相關的軟件開發產品及服務，公司基於上海積成能源提供的系統提供相關的技術服務，並對系統進行優化管理。雙方交易將遵循公平、合理、市場的原則，交易價格依據市場公允價格確定。
積成電子與上海積成能源通過資源共享、優勢互補與業務創新，共同為客户提供更優質、更全面的智慧能源、智慧市場監管系統等智慧城市綜合服務，推動雙方業務實現跨越式發展，有助於提高綜合競爭力。雙方之間的日常關聯交易是正常的商業交易行為，交易價格均依據市場公允價格公平、合理確定，雙方是互利雙贏的平等互惠關係，不存在損害公司和股東利益的行為。
公司與上海積成能源均為獨立法人，獨立經營，在資產、財務、人員等方面均獨立，此次關聯交易不會對公司本期和未來財務狀況、經營成果產生不利影響，也不會影響到公司業務的獨立性和連續性。
