天能動力(00819.HK)：天能電池科創板上市申請獲受理
格隆匯12月30日丨天能動力(00819.HK)公佈，有關建議分拆電池板塊業務並建議分拆公司的股份以A股上市方式於上海證券交易所作獨立上市，根據股東於2019年7月12日舉行之股東特別大會上授出的批准，分拆公司已於2019年12月27日就其擬首次公開發行股份並在科創板上市事項向上海證券交易所呈交正式申請，並於2019年12月30日獲上海證券交易所發出的受理通知，正由上海證券交易所審閲及處理。根據中國相關的法律法規，分拆公司的招股説明書申請版本已呈交予上海證券交易所，並已登載於上海證券交易所網站(http://kcb.sse.com.cn/)。
截至目前分拆公司最新股份數量為85,550萬股，此次申請首次公開發行股份擬發行不超過11,660萬股股份(惟應不少於分拆公司於建議A股上市完成後總股本之10%)，最終發行價格將按照發行時的市場詢價情況確定，擬募集資金總額預期為約人民幣36億元。
募集資金扣除發行費用後將用於綠色智能製造技改項目、高能動力鋰電池電芯及 PACK 項目、大容量高可靠性起動啟停電池建設項目、大容量高可靠性起動啟停電池建設項目、國家級技術中心創新能力提升項目和補充流動資金，其中補充流動資金一項擬投入的募集資金數額最高，為10億元。
分拆公司申請於上海證券交易所科創板上市，主要是基於中國長三角區域一體化發展戰略、科創板的審核及發行機制等原因，同時綜合了分拆公司的市場龍頭地位、盈利能力、研發投入、專利數量和綠色發展等多方面因素之考量。科創板上市的整體審核週期相對較短、發行定價機制更為靈活，公司認為，分拆公司在科創板獨立上市將進一步增強分拆公司的資本運作效率，有助其充分利用資本市場促進自身戰略發展，鞏固行業地位，提升其競爭力與市場份額，並進一步提升其品牌影響力，整體上有利於股東及分拆公司股東之利益。
